Job description

Position Overview: 

ANSER is seeking a Mitigation Manager to provide mitigation/compliance and enforcement analysis for the Office of the Deputy Assistant Secretary of Defense for Industrial Base Policy (IBP) Global Investment and Economic Security Directorate (GIES). In this role you will review transactional documents, regulations, government contracts, and real estate contracts.  You will provide legal reviews of mergers and acquisitions, business/corporate law, regulations, finance, international trade, national security, litigation, and technology; and collaborate with Investment Analysts to draft complex agreements such as National Security Agreements and written briefing packages for senior government officials.  

 Day to Day Responsibilities: 

  • Review transactional documents, regulations, government contracts, and real estate contracts. 
  • Support legal reviews of mergers and acquisitions, business/corporate law, regulations, finance, international trade, national security, litigation, and technology.  
  • Collaboratively work with Investment Analysts on drafting complex agreements such as National Security Agreements and written briefing packages for senior government officials.  
  • Collaboratively work with Investment Analysts and Team Telecom Analysts, transaction parties, counsel, equity holders, and senior counsel. 
  • Provide compliance monitoring for the implementation of CFIUS agreements and orders to ensure risks identified in a transaction are appropriately mitigated:
    • coordinating and communicating with agreement parties on compliance concerns  
    • interviewing monitored party nominations  
    • evaluating parties' compliance  
    • analyzing legal and policy case compliance concerns and providing recommendations for DoD decisions  
    • preparing and supporting necessary compliance reports and enforcement documentation  
  • Negotiation and drafting of CFIUS legal documents, to include waivers, joinders, amendments, and terminations.  
  • Execute CFIUS and Team Telecom compliance monitoring through site visits, DoD stakeholder meetings and visits, and other meetings for the purpose of compliance monitoring
  • Develop, maintain, and execute policies and standard procedures for the CFIUS interagency process and for DoD monitoring of foreign investment risk associated with product integrity, supply assurance, collocation, and technology transfer.
  • Support compliance monitoring function with business operations professionals and cybersecurity expertise. 
  • Produce case summaries, talking points, and action memos for DoD leadership.  
  • Support evolving investment and technology security policy developments, and CFIUS policy developments as required.  
  • Work with Case Managers to finish RBAs and develop mitigation terms in coordination with the Business Transaction Specialist, Cybersecurity Specialist, Senior Engineer, and DoD Stakeholders. 

Required Qualifications: 

  • Active TS/SCI clearance 
  • Master's Degree.
  • 6 or more years' relevant mitigation/compliance and enforcement analysis 
  • Experience providing solutions to an organization's challenges through the application of knowledge gained through similar prior engagements.  
  • Experience in directing the activities of specialists or other staff as needed on activities
  • Four years of relevant legal experience with Transactional Law, mergers and acquisitions, Corporate Law, contract negotiation, data protection and privacy law, cybersecurity, national security, or military law.    

Preferred Qualifications: 

  • Juris Doctorate Degree.
  • Strong interpersonal/social skills 
  • Exceptional written and verbal communication skills 
  • Demonstrated experience operating within the Department of Defense (DoD), the Industrial Base Policy or a similar, strategic-level staff environment 
  • Proven ability to brief, interact with, and provide counsel to senior military leaders, including Flag and General Officers 
  • Experience supporting on-site implementation of project plans and process improvement initiates ensuring objectives are met 
  • Professional certification as a Project Management Professional (PMP) a Lean Six Sigma (Green Belt or higher) or a recognized equivalent with a track record of driving successful process improvement initiatives.Â
