Job description

About Gap Inc.

At Gap Inc., we create culture as much as we create clothes. Our ambition is to become a high-performing house of iconic American brands that shape culture.

Our portfolio—Old Navy, Gap, Banana Republic, and Athleta—each brings a distinct point of view to how we show up in the world and serve our customers.

Old Navy democratizes style with quality and value for all. Gap champions originality through essential pieces that celebrate individuality. Banana Republic is rooted in a spirit of discovery, creating modern pieces inspired by craftsmanship and travel. Athleta champions the Power of She through confidence, strength, and movement.

We’re driven by a shared purpose: to bridge gaps—between people, perspectives, and possibilities—to create a better world.

We’re building a team that performs at a high level—people who think boldly, take ownership, and turn ideas into impact. If you’re ready to learn fast and help shape what’s next, you’ll fit right in.

About the Role

As Counsel supporting Gap Inc.’s Global Technology Solutions (GTS) organization, you will play a key role in enabling the company’s digital transformation and accelerating its adoption of AI-driven, cloud-based technologies. You will provide practical, business-focused legal advice that supports Gap Inc.’s technology and innovation strategies across its portfolio of iconic brands.
In this role, you will partner with GTS, Procurement, and cross-functional stakeholders to negotiate complex technology transactions, manage legal risk, and help the business deploy emerging technologies responsibly and effectively. You will support initiatives that reimagine how technology empowers product creation, customer experience, and employee enablement, helping to advance Gap’s vision of a human-centered, digitally enabled enterprise.

What You'll Do
  • Provide legal advice and support on technology transactions and commercial contracting for software, SaaS, cloud, professional services, data, and AI-related initiatives.
  • Draft, review, and negotiate a variety of technology and commercial agreements, ensuring alignment with legal, compliance, and business objectives.
  • Partner with GTS and Procurement teams to enable strategic technology sourcing and enterprise transformation projects.
  • Advise on the legal, contractual, and regulatory aspects of artificial intelligence, data use, and automation, helping to operationalize responsible AI practices.
  • Collaborate with internal teams, including Privacy, Information Security, Compliance, and Risk, to identify and mitigate legal risks in new and ongoing initiatives.
  • Contribute to the development and improvement of technology contracting templates, playbooks, and processes that enhance efficiency and consistency.
  • Monitor legal and regulatory developments impacting technology, AI, and data governance, and assess their implications for Gap Inc.’s business.
  • Support the delivery of legal training and guidance to business partners on technology contracting, AI use, and emerging digital trends.
Who You Are
  • Licensed to practice law in relevant jurisdiction(s).
  • Strong foundational knowledge of commercial, technology, and regulatory law, with emphasis on SaaS, cloud, and data-related agreements.
  • Experience advising on artificial intelligence and emerging technologies, including legal, ethical, and operational considerations.
  • Ability to deliver clear, practical legal advice in a dynamic, fast-paced environment.
  • Excellent communication, negotiation, and collaboration skills, with the ability to partner effectively with technical and business teams.
  • Demonstrated ability to manage multiple priorities and meet deadlines while maintaining attention to detail and sound judgment.
  • 4–8 years of relevant legal experience, ideally with a mix of law firm and in-house experience.
  • Experience supporting enterprise technology or digital transformation initiatives.
  • Familiarity with AI governance frameworks, data protection, and cloud contracting best practices.
  • Prior experience supporting technology organizations or procurement teams in a large, matrixed company.
  • Genuine interest in innovation, digital strategy, and the role of technology in shaping the future of retail.
Benefits at Gap Inc.
  • Merchandise discount for our brands: 50% off regular-priced merchandise at Old Navy, Gap, Banana Republic and Athleta, and 30% off at Outlet for all employees.
  • One of the most competitive Paid Time Off plans in the industry.*
  • Employees can take up to five “on the clock” hours each month to volunteer at a charity of their choice.*
  • Extensive 401(k) plan with company matching for contributions up to four percent of an employee’s base pay.*
  • Employee stock purchase plan.*
  • Medical, dental, vision and life insurance.*
