The Royal Caribbean Group's Legal Team has an exciting career opportunity for full-time Senior Analyst, Paralegal reporting to the Senior Director, Associate Counsel.
The position is onsite and based in Miami, Florida

Position Summary:
The Senior Analyst, Paralegal is a key member of the Legal Department's corporate governance function, responsible for supporting the full lifecycle of the company's domestic and international subsidiaries. Working closely with in-house counsel, senior management, and external advisors, the Senior Paralegal manages corporate records, supports public board and committee meetings, entity formation and maintenance, and regulatory filings. The role requires strong initiative, sound judgment, and the ability to manage multi-jurisdictional matters under the direction and supervision of in-house counsel.
Essential Duties and Responsibilities:
Corporate Governance & Recordkeeping
  • Maintain corporate records, including minute books, resolutions, and consents for domestic and foreign subsidiaries, ensuring accuracy and completeness.
  • Draft and review various standard corporate documents, including bylaws, resolutions for director and officer changes, operating agreements, and Officer's Certificates.
  • Assist in the development and implementation of corporate policies and procedures relating to corporate governance and best practices.

Board & Committee Support
  • Liaise with corporate secretary staff to coordinate and prepare Board and Committee meeting materials for our parent entity (Royal Caribbean Cruises Ltd.), including collecting agendas, preparing draft minutes, and compiling and publishing meeting books in the electronic Board portal.

Entity Management
  • Lead the formation and dissolution of corporate entities, coordinating among all internal and external stakeholders.
  • Ensure the good standing of domestic and international subsidiaries by maintaining directorships, shareholder registries, and filing annual reports.
  • Maintain an annual compliance calendar to track filing deadlines, renewals, and governance obligations across jurisdictions, with the assistance of external corporate advisors and attorneys.

Regulatory & Compliance
  • Assist the business with entity information for required filings with governmental agencies, including permits and business licenses.
  • Coordinate the gathering of information required by KYC processes from banks as well as regulatory and licensing agencies.

Special Projects
  • Manage special projects and other duties as assigned by the legal team, including cross-functional initiatives between the legal team and other departments.

Qualifications, Knowledge and Skills:
  • Education: Bachelor's degree in Paralegal Studies, Legal Studies, or a related field or Paralegal certification from an ABA-approved program.
  • Experience: Minimum of 6-8 years of experience in a corporate legal environment (in-house or law firm corporate department), including experience with domestic and international subsidiary management.
  • Licensure: Notary Public commission, or willingness to obtain one, preferred.

Skills & Competencies:
  • Extensive knowledge of corporate governance matters across multiple jurisdictions.
  • Experience with entity-management and electronic Board portals and corporate document/minute-book systems a plus (e.g., Nasdaq BoardVantage / Computershare GEMS).
  • Strong organizational skills and exceptional attention to detail.
  • Excellent written and verbal communication skills.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and legal research databases.
  • Ability to exercise sound judgment and prioritize effectively in a fast-paced environment.
  • High level of professionalism, discretion, and confidentiality.
