Job description

General - Legal Department:
  • Maintain litigation summary and prepare quarterly/monthly reports and updates.
  • Expense reports and travel arrangements.
  • Assist attorneys in the preparation and coordination of documents for acquisitions and divestitures.
  • Assist in the preparation and distribution of documents, including contracts, employee matters and special projects.
  • Manage customs power of attorney requests from Enpro businesses.
  • Manage, prepare and code wires and invoices and prepare quarterly accrual lists for the Department, along with reviewing invoices each month and quarterly for what can and can't be released to the divisions.
  • Obtain voice to voice approvals to submit before payments can be completed.
  • Assist with setting legal department budget and tracking expenses against budget throughout year.
  • Assist lawyers with:
    • expense reports and travel arrangements.
    • continuing legal education tracking/filings.

Board Meetings/SEC
  • Assist attorneys and corporate paralegal with preparation of Board meeting materials, including agendas, slides, letters, etc.
  • Assemble hard copies of board books in advance of meetings.
  • Assist with meeting minutes, including editing, proof-reading, distributing for input and finalizing.
  • Prepare and assist with SEC filings, including inputting information, carefully reviewing draft documents and setting up filings.
  • Make or manage SEC filings, including coordinating with third party vendor on large filings other than earnings release 8-K, 10-Qs and 10-Ks, which are handled by the Finance Department.
  • Use software tools as part of above, including WDesk (SEC software) and Diligent (Board materials upload software).
  • Maintain Enpro subsidiary list, which needs to go to audit firm quarterly and is also included in the 10-K.
