Job description

The Staff Counsel position will provide legal services to the Company's Land, Operations and other business units related to mineral development, including assisting in asset acquisitions, divestitures, and exchanges. This position provides day-to-day advice on a broad range of oil and gas legal issues, including operational and transactional matters, but will also be expected to competently provide a variety of other general legal advice and services to business units throughout the Company. Title will be commensurate with experience and qualifications.


Job Responsibilities

Included, but not limited to:

  • Provide legal support to land, operations, and commercial teams on matters related to oil and gas exploration, development, and production, including leases, mineral ownership, and property rights.
  • Advise on a wide range of operational and transactional issues, including royalty matters, joint operating agreements, pipelines, geophysical activities, and marketing arrangements.
  • Draft, review, and negotiate a variety of commercial agreements, ensuring alignment with business objectives and company risk tolerance.
  • Support acquisitions, divestitures, and asset trades, including conducting legal due diligence and assisting with the preparation and review of transaction documents.
  • Partner with internal stakeholders to identify legal risks and provide practical, business-oriented recommendations to support operational and strategic goals.
  • Collaborate with and manage outside counsel as needed on specialized matters, disputes, and regulatory issues.

Required Qualifications:

  • J.D. from an accredited law school with strong academic credentials
  • Admission to a state bar with ability to practice in-house in the State of Texas
  • Five (5+) years experience as a practicing attorney; prior in-house experience preferred
  • Upstream oil and gas legal experience in a law firm, governmental agency, or in-house
  • Demonstrated experience in: handling complex royalty matters, drafting, negotiation, and closing oil and gas acquisition, divestiture, and exchange transactions; providing general legal advice and counsel to oil and gas exploration clients; preparing oil and gas title opinions; handling midstream and marketing matters
  • Ability to provide legal advice on a vast array of contractual matters relating to oil and gas exploration infrastructure development and operations
  • Excellent communication (written and verbal) and analytic skills with a strong ability to draft and review complex legal documents and apply legal advice in a timely and practical manner
