The Associate General Counsel, Contracting supports agilon's payor contracting function by providing practical legal support across the full contract lifecycle, from initial negotiation through post-execution management.Reporting to the Sr. Associate General Counsel, Payor Contracting, this attorney will develop and apply knowledge of Medicare Advantage contracting, value-based care arrangements, and healthcare regulatory requirements. This role is well-suited for a transactional attorney with a healthcare background who is looking to deepen their payor contracting expertise and grow within an in-house legal team that is trusted and influential within the business.**Payor Contracting & Strategy:*** Support end-to-end negotiation of Medicare Advantage risk agreements, including financial terms, risk-bearing entity structures, DOFR allocations, and performance guarantees, in partnership with senior legal and Payor Contracting leadership.* Draft, review, and maintain payor contract templates and assist in updating template language to reflect current regulatory requirements and market conditions.* Assist with attorney-to-attorney correspondence and support escalations, disputes, and resolutions under the direction of senior counsel.* Monitor CMS regulatory developments and assist in advising business partners on contract language implications; support preparation for Joint Operating Committee (JOC) meetings, dispute notices, and other payor-facing communications.* Assist in coordinating with Finance, Contract Analysis, and other cross-functional stakeholders to align negotiated financial terms with approved financial models.* Support payor contract interpretation, post-execution management, amendments, renewals, notices, reconciliations, and other ongoing contract matters.**Vendor Contracting*** Draft, review, and negotiate commercial vendor and third-party agreements, including technology, SaaS, professional services, consulting, data and analytics, clinical services, business associate, licensing, and supply agreements.* Collaborate with IT, Information Security, Privacy, Finance, Compliance, and business owners to ensure vendor agreements appropriately address business, legal, regulatory, security, and operational requirements.* Support development and maintenance of standard vendor contract templates, playbooks, and negotiation guidelines.**Additional Contracting & Cross-Functional Support*** While the primary focus of this role is payor and vendor contracting, agilon's legal team operates as a collaborative enterprise function.
