Corporate Transactional Attorney Corporate Transactional Attorney
Position Overview
We are seeking an experienced Corporate Transactional Attorney to support complex corporate and commercial transactions across a range of industries. The ideal candidate will advise on corporate law and transactional matters, lead and execute deal documentation, structure transactions, allocate risk, and provide practical, business-minded legal solutions to internal stakeholders and clients. This role requires strong drafting and negotiation skills, sound judgment, and the ability to manage multiple matters simultaneously.
Key Responsibilities
  • Advise clients and internal stakeholders on corporate law and transactional matters, including formation, governance, and compliance.
  • Draft, review, and negotiate a wide range of commercial agreements and transaction documents, including NDAs, purchase agreements, stock and asset purchase documents, and ancillary agreements.
  • Structure and execute mergers, acquisitions, dispositions, joint ventures, and other strategic transactions; conduct legal due diligence and prepare related closing deliverables.
  • Allocate and negotiate risk in commercial contracts; provide practical recommendations on indemnities, representations and warranties, and liability limitations.
  • Lead entity formation, corporate governance, equity incentive documentation, and board/stockholder meeting materials.
  • Coordinate cross-functional teams including finance, tax, compliance, and business units to drive transactions to timely close.
  • Provide legal support on financing, banking, restructuring, bankruptcy, and real estate transactional matters as needed.
  • Maintain and improve standard contract templates and playbooks; train and mentor junior attorneys and support staff on transactional best practices.
  • Manage client relationships, communicate status updates, and ensure high-quality, business-focused legal advice under tight deadlines.
Qualifications
  • Juris Doctor (JD) from an accredited law school and admission to the bar in the applicable jurisdiction.
  • Minimum 3-5 years of experience in corporate and transactional law (experience may vary depending on seniority level sought).
  • Demonstrated expertise in Corporate Law and Transactional Law structuring deals, corporate governance, and entity formation.
  • Proven experience drafting and negotiating commercial agreements, NDAs, purchase agreements, and transaction documents.
  • Familiarity with mergers & acquisitions, financing and banking transactions, and restructuring/bankruptcy work is highly desirable.
  • Experience with real estate transactions and commercial leasing matters is a plus.
  • Strong contract drafting, negotiation, and risk-allocation skills, with attention to detail and commercial awareness.
  • Excellent communication, project management, and client-facing skills; ability to work independently and collaboratively across teams.
  • Ability to manage multiple matters and priorities in a fast-paced environment while meeting deadlines and delivering high-quality legal work.
