Position Overview 

We are seeking a Transactional Attorney to join its Tampa office and support the firm's expanding business transactions practice. The ideal candidate will have at least two years of experience handling a broad range of business and commercial transactions. This role offers the opportunity to work closely with experienced attorneys on meaningful matters while contributing to the continued growth of the firm's Tampa platform.

Key Responsibilities

  • Draft, review, negotiate, and close a variety of business transaction documents, including asset and stock purchase agreements, merger agreements, commercial contracts, joint venture and strategic alliance agreements, and related ancillary documents.
  • Advise clients on general corporate matters, entity formation and governance, commercial contracts, and day-to-day transactional needs.
  • Support mergers and acquisitions, financings, and other complex business transactions from due diligence through closing.
  • Collaborate with colleagues across practice groups (including real estate, tax, employment, and intellectual property) to deliver integrated counsel.
  • Manage multiple matters efficiently while providing responsive, practical advice to clients.
  • Participate in business development and client relationship activities as appropriate.

Qualifications

  • J.D. from an accredited law school.
  • Admission to the Florida Bar (or eligibility and willingness to become admitted promptly).
  • Minimum of two (2) years of experience in business or commercial transactional work at a law firm or in-house legal department.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent written and verbal communication abilities.
  • Ability to work independently while thriving in a collaborative team environment.
  • High attention to detail, strong organizational skills, and the ability to manage competing priorities in a fast-paced setting.
  • Prior experience with M&A, commercial contracts, or general corporate counseling is preferred.
