Job description

We are seeking a skilled and highly motivated Corporate Counsel to join our global legal team, reporting directly to the VP, Deputy General Counsel & Assistant Secretary. This role is based in Milwaukee, WI at The Manitowoc Company, Inc. headquarters. As Corporate Counsel, you will play a key role in supporting Manitowoc across a broad range of legal matters. You will provide practical legal advice to senior leaders and commercial teams, handle complex legal matters, review and negotiate contracts, and support global legal strategies to align with Manitowoc's goals. This strategic role offers visibility, influence, and growth across the company.

Responsibilities: 

  • Draft, review, negotiate and interpret a variety of commercial contracts across all departments including supply and purchase agreements, service agreements, technology agreements, and distribution contracts.
  • Provide proactive and practical legal guidance to internal stakeholders across procurement, supply chain, sales, IS, HR, Marketing, Finance and other departments.
  • Build internal relationships and advise the business on legal risk and compliance issues, while working closely with the VP, DGC to ensure legal risks are appropriately identified, assessed and mitigated.
  • Counsel on real estate transactions and documentation, including leases, acquisitions, construction, and asset management.
  • Provide legal support for government contracting activities, including drafting, reviewing, and negotiating contracts with government entities, and supporting compliance with federal, state, and local contracting requirements.
  • Lead or contribute to the development, rollout and enforcement of global legal policies, procedures and best practices across Manitowoc.
  • Collaborate closely with business leaders, regional team, and other functional areas to ensure legal guidance aligns with operational and strategic objectives. 
  • Act as a trusted advisor and demonstrate leadership in driving a strong culture of compliance, integrity and business enablement. 
  • Build relationships with and coordinate with external legal counsel as needed.
  • Seek continuous improvement opportunities within scope of responsibility, including developing training, or updating templates and processes.
  • Ensure compliance with relevant laws, regulations, and internal standards, and support investigations, audits, and responses to governmental inquiries. 
  • Support the legal team with additional commercial and corporate legal matters as needed.

Required Education and Experience:

  • Minimum of 2-4 years of legal experience in a reputable law firm and/or in-house legal department
  • Licensed attorney with a Juris Doctorate from an accredited law school
  • Active bar membership in at least one U.S. state, and able to be admitted to practice in Wisconsin
  •  Strong experience in commercial contract negotiation and drafting.
