Job Description:

Our client is seeking a Corporate Paralegal with extensive experience supporting mergers and acquisitions and other corporate transactions. This position works closely with attorneys throughout the lifecycle of complex business transactions, providing critical organizational and legal support while managing multiple priorities. The ideal candidate is proactive, detail-oriented, and thrives in a high-performing legal environment with significant client interaction.

Key Responsibilities:

  • Assist attorneys with corporate transactions from initial due diligence through final closing.
  • Coordinate transaction timelines, closing deliverables, and post-closing documentation.
  • Organize and maintain electronic data rooms and transaction files.
  • Prepare, edit, and proofread corporate documents, agreements, and supporting legal materials.
  • Support entity formation, corporate governance activities, and ongoing corporate maintenance.
  • Manage signature collection, closing binders, and transaction checklists.
  • Communicate professionally with clients, attorneys, and third parties throughout active matters.
