ABOUT THE POSITION

The Sr. Paralegal provides real estate, transactional, and administrative support across multiple cross-functional teams, including project finance and development teams, with an emphasis on real estate closings and title curative work. This person has experience closing complex multi-parcel real estate projects or similar transactions, as well as proficiency in drafting and reviewing real estate site control and title curative documents. 

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES 

  • Order and review title commitments, exception documents and surveys, interfacing directly with the title company and surveyor to resolve any issues or discrepancies, and obtain revised title commitments, title insurance proformas, and final surveys.
  • Prepare and coordinate the execution of real estate agreements, such as lease and easement agreements (and associated memoranda, amendments and terminations), landowner estoppels, Subordination and Non-Disturbance Agreements and various other land and title documents.
  • Coordinate, track, and report on the execution of projects, including title searches and title curative work.
  • Prepare first drafts of title and survey comment/ revision correspondence to the title companies and surveyors.
  • Prepare and administer contract critical dates, electronic calendaring, and closing checklists.
  • Conduct analysis, coordination and procurement of crossing consents and crossing agreements with third parties, including conveying and drafting compliance requirements to Construction team and contractors
  • Coordinate and assist with all aspects of closings including lease "closings", including preparation of closing documents, conveyance documents, closing statements, and other closing documents.
  • Prepare closing schedules and assist with population of documents to data rooms.
  • Attend to all post-closing requirements, which will require you to prepare closing indices, prepare and organize closing binders, and monitor all post-closing deliveries and requirements
  • Prepare clear and concise correspondence and memorandum
  • Review/proofread organizational and authority documents.
  • Perform Notary Public duties as required.

REQUIRED SKILLS AND QUALIFICATIONS

  • Bachelor's Degree, paralegal certificate preferred, but not required.
  • Minimum of 5 years of real estate paralegal experience in an in-house legal department or at a law firm.
  • Previous experience in the renewable energy industry required.
  • Transactional experience and familiarity with closing mechanics and documentation.
  • High level of accuracy, attention to detail and excellent proofreading skills.
  • High level of organizational skills and time management skills.
  • Excellent written and oral communication skills required to communicate effectively with direct team members, across multiple departments and with external counterparties.
  • Strong analytical skills with ability to read, comprehend and summarize legal documents and contracts.
  • Strong interpersonal skills with the ability to interact with team members at all levels of the company in a congenial, collaborative manner.
  • A resourceful problem solver with the ability to operate autonomously and efficiently and to figure out solutions proactively and independently.
  • Ability to pivot between responsibilities to meet tight deadlines and shifting demands and priorities.
