Position Overview
SemiAnalysis is looking to hire a General Counsel to support the company’s legal, commercial, compliance, and corporate governance needs as the business scales globally.
This role will advise leadership on contracts, legal risk, employment matters, corporate governance, data privacy, confidentiality, and cross-border operations. The ideal candidate is practical, commercially minded, and comfortable working in a fast-moving technology, research, and consulting environment.
Responsibilities
Review, draft, and negotiate commercial agreements, including client contracts, vendor agreements, NDAs, consulting agreements, and employment or contractor agreements.
Advise leadership on legal risks across business operations, employment, intellectual property, confidentiality, and international expansion.
Support corporate governance matters, including entity management, board documentation, internal policies, and compliance processes.
Partner with HR and operations on employment contracts, contractor arrangements, terminations, and workplace policies.
Manage and coordinate with external legal counsel where required.
Build scalable legal templates, contract playbooks, approval workflows, and legal processes.
Advise on data privacy, confidentiality, information security, and regulatory considerations.
Support the business on disputes, escalations, and risk mitigation matters.
Requirements
Qualified lawyer with experience in corporate, commercial, employment, or technology-related legal matters.
Strong contract drafting, negotiation, and legal risk assessment skills.
Experience advising senior leadership or executive stakeholders.
Strong understanding of US legal matters.
Ability to balance legal protection with commercial practicality.
Comfortable operating independently in a remote, global, and fast-paced environment.
Strong written and verbal communication skills.
Preferred Skills
Experience working with high-growth, global, research, consulting, technology, AI, semiconductor, or data-focused businesses.
Exposure to international employment, contractor arrangements, and cross-border entity matters.
Familiarity with IP protection, research publication risk, client confidentiality, and data licensing.
Experience supporting contractor-heavy or internationally distributed teams.
Prior experience as a first legal hire, fractional General Counsel, or startup legal advisor.
Ability to create legal structure and processes from scratch.
