POSITION: Corporate Paralegal (National Law Firm)

LOCATION: Remote *Required in office presence for trainings and filings

COMPENSATION: Base salary up to $100,000, bonus eligibility, comprehensive benefits, and 401(k).

 

Overview for Corporate Paralegal:

Join a highly respected national law firm known for its collaborative culture and sophisticated Corporate Practice. This is an excellent opportunity for an experienced Corporate Paralegal to work alongside accomplished attorneys on a broad range of complex business transactions in a supportive, team-oriented environment. The ideal candidate is proactive, detail-oriented, and thrives in a fast-paced setting while managing multiple priorities. You'll play an integral role in supporting corporate matters from inception through closing while building strong relationships with attorneys, clients, and colleagues.

 

Responsibilities for Corporate Paralegal:

  • Support attorneys in all aspects of general corporate matters, including entity formations, corporate governance, mergers and acquisitions, financing transactions, and other commercial matters.
  • Prepare and file formation, qualification, dissolution, merger, conversion, and amendment documents for corporations, LLCs, partnerships, and other business entities.
  • Draft and maintain corporate governance documents, including resolutions, consents, bylaws, operating agreements, stock certificates, and minute books.
  • Coordinate transaction closings by preparing closing checklists, signature pages, closing binders, and post-closing documentation.
  • Conduct corporate due diligence, including reviewing organizational documents, contracts, UCC filings, and public records.
  • Maintain corporate records and entity management databases while ensuring compliance with annual filings and other regulatory requirements.
  • Communicate with clients, government agencies, outside counsel, and internal legal teams to coordinate filings, transactions, and ongoing corporate matters.

 

Qualifications for Corporate Paralegal:

  • Bachelor's degree and/or Paralegal Certificate required.
  • Minimum of 5 years of corporate paralegal experience in a law firm or corporate legal department.
  • Experience supporting corporate transactions, including mergers and acquisitions, entity formations, corporate governance, and financing matters.
  • Strong knowledge of business entity management, corporate filings, and state filing requirements.
  • Proficiency in Microsoft Office Suite, including Word, Excel, Outlook, and PowerPoint; experience with entity management software is a plus.
  • Excellent organizational, project management, and multitasking skills with the ability to manage multiple deadlines and priorities.
  • Strong written and verbal communication skills, exceptional attention to detail, and the ability to work independently while collaborating effectively in a fast-paced, client-focused environment.
