On behalf of our client, a well-established downtown law firm, we are seeking an Associate to join its Corporate Commercial department. The firm is known for its strong reputation, client-focused approach, and positive, collaborative culture, and offers an active file load for the successful candidate to step into.


This role provides an excellent opportunity to further develop your practice within a supportive environment, with enhanced bonus potential for those interested in building their own client base. The position is primarily in-office, with flexibility for occasional remote work.


Responsibilities


• Draft, review, and negotiate a wide range of commercial agreements, including service agreements, vendor and supplier contracts, shareholder and partnership agreements, and confidentiality and non-disclosure agreements, ensuring alignment with business objectives and legal requirements.

• Provide practical, business-focused legal advice on corporate and commercial law matters such as governance, regulatory compliance, risk management, and day-to-day operational issues.

• Support clients with incorporations, corporate reorganizations, and commercial transactions by preparing and filing corporate records, coordinating with accountants and external advisors, conducting due diligence, and managing transaction timelines.

• Build and maintain strong client relationships through responsive communication, a solution-oriented approach, and a thorough understanding of each client’s business needs, priorities, and long-term objectives.


Key Competencies:


• 2–5 years of experience in corporate commercial law

• Proven ability to draft and negotiate a variety of commercial agreements

• Capable of managing files independently from start to finish

• Strong communication skills with a commitment to exceptional client service

• Motivated to develop a practice and contribute to the firm’s growth and objectives


Applicants must be in good standing with the Alberta Law Society and have a minimum of four years’ experience as an Associate.
