SUMMARY

We areย seekingย an experienced andย business mindedย General Counselย to lead and manage the organizationโ€™s legal function. This role will serve as a trusted advisor to senior leadership and business partners, overseeing a broad range of legal matters with a strong emphasis onย corporateย claims &ย litigation,ย contract review,ย claimsย &ย collections,ย andย insuranceย & risk management.ย ย ย 

The ideal candidate brings aย hands-on, pragmatic approach to risk mitigation and problem solving, with the ability to balance legal rigor and commercial judgment. Experience within aย professional service, consulting, or servicesbased organizationย is highly valued but notย required. Exposure toย real estate, environmental, engineering, or regulated industriesย is a plus.ย 

ESSENTIAL DUTIES & TASKS

Legal Leadership & Strategic Advisoryย 

  • Serve as the organizationโ€™s chief legal advisor, providing practical,ย business orientedย counsel to executive leadership and internal stakeholders.ย 
  • Lead and oversee the legal function, ensuring alignment with organizational strategy, risk tolerance, and growthย objectives.ย 
  • Translate complex legal issues into clear guidance that supports effective decisionmaking.ย 

Litigation, Claims & Collectionsย 

  • Oversee all corporate litigation, claims, and dispute resolution matters, including management of outside counsel.ย 
  • Develop and execute strategies related toย collections, recovery actions, and adversarial proceedings, balancing risk, cost, and business impact.ย 
  • Trackย litigationย exposure, trends, and outcomes, andย adviseย leadership on risk mitigation strategies.ย 

Contracts & Commercial Mattersย 

  • Oversee drafting, negotiation, and execution of a broad range of commercial agreements, including client contracts, vendor agreements, and professional services engagements.ย 
  • Establish and refine contract processes, templates, and approval standards to support operational efficiency and risk management.ย 
  • Partner closely with business teams to supportย revenue generatingย activities while protecting the organizationโ€™s interests.ย 

Insurance & Risk Managementย 

  • Manage the organizationโ€™s insurance programs in collaboration with internal partners and brokers.ย 
  • Oversee coverage issues, claims management, and negotiations related to policy interpretation and renewals.ย 
  • Support enterprise risk management efforts through proactive identification and mitigation of legal and operational risks.ย 

Compliance & Regulatory Mattersย 

  • Ensure compliance with applicable federal, state, and local laws and regulations relevant to the organizationโ€™s operations.ย 
  • Support internal policies, governance practices, and compliance initiatives to promote ethical andย legallyย sound operations.ย 

Employment &ย Laborย Supportย 

  • Manage employment-related claims and disputes, including coordination with external counsel when needed.ย 
  • Provideย legal guidanceย and support HR leadershipย onย employment agreements, independent contractor matters, and compliance with applicable federal and state laws, andย employment matters, including separations and workplace policies.ย 

Mergers & Acquisitionsย 

  • Provide legal oversight and strategic support for mergers, acquisitions, and other corporate transactions.ย 
  • Adviseย leadership on legal risk, structure, and execution of strategic growth initiatives.ย 
  • Manage outside counsel and support due diligence and posttransaction integration as needed.ย 

Real Estateย 

  • Oversee legal matters related to the organizationโ€™s real estate interests, including owned and leased properties.ย 
  • Provide guidance on real estaterelated risk, transactions, and contractual arrangements.ย 
  • Coordinate with internal stakeholders and external counsel on real estate matters asย required.ย 

Taxationย 

  • Provide strategic oversight and guidance on tax-related legal matters, including coordination with internal finance teams and external tax advisors.ย 
  • Advise onย tax considerations related to corporate structure, transactions, and risk management, as needed.ย 

External Counsel & Budget Managementย 

  • Select, manage, and oversee outside counsel across various practice areas.ย 
  • Manage legalย spendย and budgets, ensuringย costeffectiveย delivery of legal services.ย 

QUALIFICATIONS & EXPERIENCE

  • Juris Doctor (JD) from an accredited law school;ย active bar admission in at least one U.S.ย jurisdictionย (New Jerseyย required, NY and CA preferred).ย 
  • 10+ years of progressive legal experience, with meaningful responsibility across litigation, contracts, and corporate matters.ย 
  • Demonstrated experience overseeingย corporate litigation, claims/collections, insurance matters, and commercial contracts.ย 
  • Working knowledge of employment law and HR-related legal issues.ย 
  • Experience in a professional services, consulting, engineering, environmental, real estate, or similarly complex services environment is a plus.ย 
  • Proven ability to manage outside counsel and legal budgets effectivelyย with a strongย network of contacts to support those efforts.ย 
  • Strong commercial judgment, executive presence, and ability to partner withย nonlegalย stakeholders.ย 
  • Excellent communication, negotiation, andย problemsolvingย skills.ย

COMPENSATION

Salary range: $275,000 - $325,000. This is what we reasonably expect to pay for the role. ย The pay scale for this role considers a wide range of factors when making compensation decisions, including, but not limited to, skill sets, experience and training, licensure and certifications, and other business and organizational needs. Please note that the disclosed pay scale estimate has not been adjusted for the applicable geographic location where the position may be filled.ย ย You may also be eligible to participate in a discretionary incentive bonus program, which is dependent on various factors, including, but not limited to individual and organizational performance.ย ย
