The Opportunityย 
You will work directly with two market-leading Executive Compensation partners, formerly ofย Wachtell, Lipton, Rosen & Katzย andย Simpson Thacher & Bartlett, on sophisticated, transaction-driven compensation work typically seen at the top of the market; within a lean, agile platform that offers significantly more autonomy and flexibility than traditional BigLawย structures.ย 
You will play a key role in advising on executive compensation and employee benefits issues that are central to complex corporate transactions and sensitive executive matters. This is a high-visibility role with direct partner interaction and meaningful client exposure.ย 

What You'll Do:

  • Advising on executive compensation and employee benefits issues in connection withย M&A, private equity transactions, IPOs, joint ventures, and restructuringsย 
  • Counseling founders, CEOs, senior executives, and boards on:ย 
  • Executive employment and retention agreementsย 
  • Equity incentive and carried interest structuresย 
  • Deferred compensation and incentive arrangementsย 
  • Change-in-control and termination protectionsย 
  • Performance-based compensation designย 
  • Providing strategic guidance onย tax and ERISA considerations, including equity compensation and nonqualified deferred compensation programsย 
  • Supporting compensation aspects of complex and often confidential corporate eventsย
