Assistant General Counsel, Commercial

Department: Legal & Compliance

Reporting To: Deputy General Counsel


DescriptionThe Assistant General Counsel, Commercial supports the organization by providing legal counsel on commercial transactions, employment-related matters, and other legal risk areas to ensure alignment with applicable laws, regulatory requirements, internal policies, and business objectives.
Key Responsibilities Commercial Contracts & Business Transactions   
  • Lead drafting, review, negotiation, and lifecycle management of a broad range of complex commercial agreements, such as sales agency, distribution, manufacturing, supply, licensing, technology, clinical, commercialization, and collaboration agreements.     
  • Draft, review, and negotiate ancillary commercial documents, such as confidentiality agreements (NDAs), statements of work, purchase and sale terms and conditions, data processing agreements, license agreements, and material transfer agreements.       
  • Support the implementation and continuous improvement of contract lifecycle management processes, including contract governance, workflow optimization, and legal operations initiatives. 
  • Develop, maintain, and update standard contract templates, playbooks, and contracting policies to improve efficiency, consistency, and risk management across the organization. 
  • Identify and assess key contract risks, obligations, and practical mitigation strategies. 
  • Advise internal stakeholders on contract interpretation and dispute avoidance, including issues relating to indemnification, limitation of liability, warranties, intellectual property ownership and licensing, payment terms, service levels, data rights, confidentiality, insurance, force majeure, termination, and dispute resolution. 
  • Advise on federal healthcare laws, HIPAA, state data privacy and security laws, software licensing, FDA law, IP, and other legal risk areas governing healthcare technology commercial transactions. 
  • Monitor changes in applicable laws, regulations, and industry practices affecting commercial contracting and proactively advise business leaders regarding legal developments and associated risks. 
  • Supervise and manage outside counsel on commercial transactions and specialized legal matters as needed.  
Employment, Litigation & General Corporate 
  • Advise on employment-related issues, including hiring, terminations, policies, and internal investigations, in coordination with Human Resources. 
  • Manage relationship with outside immigration counsel and coordinate with business leaders and Human Resources on immigration-related matters and compliance with applicable immigration laws and regulations. 
  • Help manage select litigation and disputes, including demand letters, settlement support, and coordination with outside counsel when required 
  • Support subsidiary governance and entity management tasks, including formation/maintenance, intercompany documentation support, and officer/director updates.
  • Provide support on U.S. and international data-privacy laws, data-governance practices, and compliance with evolving privacy frameworks. 
  • Provide support on IP-related matters, including coordination with IP counsel. 
Cross-Functional Partnership & Legal Operations
  • Analyze and summarize complex legal, regulatory, and commercial issues for business teams.
  • Collaborate cross-functionally to support Finance, HR, Operations, QA/RA, and business teams to ensure alignment with internal policies and external regulatory requirements; assist in developing, implementing, and monitoring company-wide compliance initiatives.  
  • Help implement cost and time-saving processes, controls, and legal department automation, and participate in other duties as requested or needed. 
  • Develop deep knowledge of Advitaโ€™s business and keep abreast of changes in law or regulations that affect Advitaโ€™s business.  
 
Skills Knowledge and ExpertiseEducation:
  • Bachelorโ€™s Degree from an accredited institution required
  • JD from an accredited institution and license to practice law in at least one U.S. state, with that license in good standing
 Experience:
  • 5+ years of experience working with commercial contracts as an in-house corporate attorney or with a law firm.
  • Demonstrated experience handling a broad range of corporate legal matters, particularly commercial contracting.
  • Experience working directly with internal clients and business stakeholders to understand business needs, provide practical legal guidance, and support timely decision-making.
  • Federal Healthcare Law experience, including HIPAA and other data privacy laws, FDA law and regulations is highly desirable.
  • Experience with data privacy, employment, and/or intellectual property matters is highly desirable.
