Fund Formation Career Associate Attorney

Direct Counsel is seeking a Fund Formation Career Associate Attorney to join a prestigious Am Law firm in Wheeling, West Virginia. Remote work is available for candidates based in the Pittsburgh, Pennsylvania area.

This is a unique opportunity for an attorney with 1-2 years of transactional experience to join a nationally recognized Fund Formation practice. This is a long-term, non-partnership-track Career Associate position designed for attorneys seeking sophisticated transactional work, mentorship, professional development, and a sustainable work-life balance within a leading global law firm.

Responsibilities
  • Assist with the formation of private investment funds, including venture capital, growth equity, impact, and crossover funds.

  • Draft and review limited partnership agreements, private placement memoranda, subscription agreements, side letters, and related fund documentation.

  • Support both sponsor-side and investor-side fund formation representations.

  • Assist with regulatory compliance matters related to private investment funds.

  • Work on co-investment vehicles, secondary transactions, and other fund-related matters.

  • Conduct legal research and assist with transactional due diligence.

  • Collaborate closely with partners and senior attorneys on sophisticated fund formation transactions.

  • Develop a strong understanding of private investment fund structures and the broader venture capital ecosystem.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the West Virginia or Pennsylvania Bar, or eligibility for prompt admission.

  • 1-2 years of transactional legal experience.

  • Prior experience through a law firm, clerkship, internship, legal clinic, or other transactional practice is preferred.

  • Interest or coursework in securities regulation, investment management, corporate law, or partnership taxation is highly desirable.

  • Strong academic credentials.

  • Excellent legal writing, communication, analytical, and organizational skills.

  • Exceptional attention to detail.

  • Demonstrated interest in developing a long-term career in private fund formation.

  • Ability to thrive in a collaborative, team-oriented environment.

Compensation & Benefits
