Job description

Direct Counsel is seeking a Tax Associate to join a prestigious and growing tax practice in Los Angeles. This is an exceptional opportunity for an attorney interested in the intersection of tax and real estate, advising clients on sophisticated real estate transactions, REIT matters, and complex tax planning strategies.

The ideal candidate will have a strong foundation in tax law, experience or demonstrated interest in real estate-related tax matters, and the ability to provide creative solutions to challenging transactional issues.

Responsibilities
  • Advise clients on the tax aspects of complex real estate transactions
  • Assist with the structuring and analysis of:
    • Real estate acquisitions and dispositions
    • Real estate investment transactions
    • REIT-related matters
    • Joint ventures
    • Development projects
    • Real estate financing transactions
  • Conduct tax research and prepare tax analyses and memoranda
  • Draft and review transaction documents with tax-related considerations
  • Collaborate with real estate, corporate, finance, and private equity attorneys on multidisciplinary matters
  • Advise clients on transaction structuring, risk management, and tax planning strategies
  • Participate in client meetings and transaction execution
  • Stay current on developments in tax law and real estate taxation
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2022 and above
  • Understanding of technical tax law principles appropriate to experience level
  • Experience with, or strong interest in, real estate tax matters
  • Familiarity with REITs is preferred
  • Strong tax research and analytical skills
  • Excellent writing and oral communication abilities
  • Strong attention to detail and organizational skills
  • Creative problem-solving abilities and intellectual curiosity
