Job description

Job Title: Corporate Paralegal

Location: McLean, VA

Experience: 4+ Years

Employment Type: Full-Time, Hybrid Role 

Pixalate is hiring a Corporate Paralegal to join our lean in-house legal team and work directly with the legal team. This is a hands-on role spanning three core areas: commercial contract management, corporate compliance, and IP/patent administration.

If you have strong contract and compliance instincts, enjoy building systems and processes, and thrive in a fast-moving tech environment — this role is for you. Prior in-house or SaaS company experience is a plus, but not a dealbreaker for the right candidate.

 

Key Responsibilities

Contract Management

  • Maintain Pixalate’s contract repository in Salesforce — ensuring MSAs, Service Orders, amendments, and NDAs are organized and audit-ready.
  • Track critical contract dates (renewal windows, NTC deadlines, fee escalations) and alert internal stakeholders proactively.
  • Manage the annual MST update workflow: coordinating notice campaigns, tracking client responses, and maintaining a clean audit trail.
  • Support redline reviews by summarizing client-proposed changes and flagging material deviations for attorney review.
  • Draft routine amendments, NDAs, vendor agreements, and renewal notices under attorney supervision.
  • Partner with sales, finance, and customer success to keep contract data accurate and in sync with billing records.

Corporate Compliance

  • Maintain good standing for all Pixalate legal entities across U.S. and international jurisdictions (annual reports, franchise tax, registered agent management).
  • Manage foreign qualification filings and coordinate with registered agents (e.g., CT Corporation, CSC) as needed.
  • Maintain corporate records including minute books, resolutions, and officer/director registers.
  • Support internal governance processes: board consents, officer certifications, and entity-level documents.
  • Monitor regulatory developments relevant to Pixalate’s business (privacy, ad-tech, data processing) and flag key updates.

IP & Patent Administration

  • Maintain Pixalate’s IP docket — tracking patents (pending and granted), trademarks, and copyrights with all prosecution deadlines.
  • Coordinate with outside IP counsel on prosecution, office action responses, and maintenance fee payments.
  • Organize IP assignment agreements, inventor declarations, and chain-of-title documentation.
  • Support IP due diligence preparation for investor, financing, and M&A purposes.

Qualifications

  • 4+ years of paralegal experience in a corporate law firm, in-house legal department, or legal operations role. SaaS or tech industry experience is a plus, not a requirement.
  • Paralegal certificate from an ABA-approved program, or a bachelor’s degree with equivalent qualifying experience.
  • Demonstrated experience managing commercial contracts end-to-end, including SaaS or subscription-based agreements.
  • Hands-on experience with Salesforce or a comparable contract management platform.
  • Ability to independently manage high-volume notice campaigns with accuracy and on deadline.
  • Exposure to multi-jurisdictional corporate entity compliance (Secretary of State filings, annual reports, registered agent coordination).
  • Strong working knowledge of Microsoft Word (tracked changes, redlining), Excel, and document management systems.
  • Experience with IP or patent portfolio administration and working with outside IP counsel is a plus.
  • Familiarity with AI-assisted legal workflows (Claude, ChatGPT, or similar) for drafting, summarization, and research is a plus.
  • Strong written and verbal communication skills, with the ability to work cross-functionally with sales, finance, and leadership.
