Job description

Position OverviewExperienced real estate specialist responsible for independently reviewing and analyzing complex real estate title documentation for projects in the new store pipeline. Independently negotiating subordination agreements and other amendments with landlords, coordinating acquisition of real property and preparation of legal documentation related thereto. Performing legal research in various jurisdictions throughout the United States, resolving disputes with landlords prior to taking delivery of the store, and take on special projects as needed.A Day in the Life
  • Independently lead end-to-end due diligence reviews for a large volume of new store leases in various stages of negotiation concurrently, including, but not limited to, complex real estate development projects with specialized structures (such ascondominium regimes and mixed-use developments) in the US and Puerto Rico, ultimately producing: (i) Final Site Plan (ii) Exhibit - Legal Description and (iii) Exhibit - Permitted Encumbrances, diligence analysis includes but is not limited to:
    • Review of Existing Exclusives and Prohibited Uses, waiver negotiation and execution
    • Title Reports - Confirms LL/Tenant entities, ownership structures, legal description(s) and reviews existing encumbrances from the perspective of a commercial retail tenant
    • Environmental Issues - Phase I, Q&M Plans, Asbestos Reports
    • ALTA Surveys - Reviews to confirm ownership and existing easements to confirm no issues with proposed Critical Areas/Access/Truck Route(s) in conjunction with existing operational agreements (REAs/OEA's)
    • Clearly articulate identified risks and proactively recommend solutions
  • Ownership of Common Area Expense and real property tax review and analysis. Reconcile actual and proposed budgets against model forecasts. Independently coordinate with third party landlords to resolve variances and coordinate proposed solutions with internal business partners.
  • Facilitate timely completion of deliverables from internal business partners (e.g., work letters, sign packages, facade renderings). Responsible for tracking status and providing necessary input and documentation to assist in completion. Independently keeping internal business partners up to date as to priorities within large volume of transactions.
  • Ensures finalization of Outside Counsel leases and confirms completeness of all externally negotiated leases, including but not limited to receipt of all drafts and due diligence materials, reviews Lucernex deal notes for timely and complete information, directs necessary changes and/or updates as required in external agreements and LX annotations, and finally oversees approval and execution process along with confirms recording and receipt of ancillary agreements
  • Negotiates ancillary agreements with minimal attorney supervision, including but not limited to amendments, waivers and consent agreements, letter agreements and non-disturbance/subordination agreements with landlord(s) and lender(s) incorporating critical Burlington business and legal positions securing director and VP approvals
  • Coach legal specialists on review strategies, assists in the establishment of draft templates and best practices as a subject matter expert on commercial leasing and due diligence. Train others on the technical aspects of troublesome jurisdictions and specific requirements to build bench strength.
  • Participates in, and often leads, special projects i.e. process improvements, legal review strategies, template improvements, standardized workflows and automation opportunities and flags issues to transaction manager
You'll Come With
  • Bachelor's degree required or an equivalent combination of education and 10+ years of relevant experience.
  • Paralegal certification required; Notary Public designation preferred.
  • 10+ years of experience handling commercial real estate, title matters, sales, acquisitions, and leasing within a law firm, title insurance company, retail organization, shopping center REIT, or commercial real estate developer.
  • Demonstrated ability to independently draft a wide range of complex real estate documents with minimal supervision.
  • Advanced knowledge of commercial real estate transactions and documentation, with the ability to negotiate legal provisions and business terms effectively with attorneys, landlords, and business partners.
  • Experience analyzing complex real estate documents and assessing business impact, including identifying required waivers, amendments, risk mitigation strategies, and other supporting documentation.
  • Proven experience managing real estate transactions beyond leasing, including acquisitions and dispositions, with responsibility for coordinating transactions through closing.
  • Experience mentoring or training team members, with the ability to provide guidance and support to Legal Specialists on drafting, document review, and best practices.
  • Strong organizational, analytical, and communication skills, with the ability to manage multiple priorities in a fast-paced environment.
  • Advanced proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, and Teams), along with experience using document management and lease administration systems.
