Job Summary:

Reporting into the Portfolio Manager, the M&A Manager will be responsible for directing Volaris Portfolio's M&A activities in various verticals globally. This role will act as our principal industry advisor on the software industry and all related M&A elements. You will provide deep domain expertise and key industry leadership regarding acquisitions and ensure the Volaris global strategic objectives are driven throughout the acquisition process.
The M&A Manager is tasked with leading M&A transactions through cross-functional due diligence and gathering and leveraging integration planning inputs to support integration planning and valuation inputs. The M&A Manager also gathers important information regarding risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based and well-reasoned insights on the valuation and structural impact of the acquisition.
This position requires continual interactions with both internal and external business leaders in driving ongoing alignment of acquisitions. The M&A Manager is additionally responsible for ensuring that internal M&A processes and standards are adhered.

Job Description:

Key Responsibilities

  • Supporting the Portfolio Manager in the creation of theVolarisPortfolio's M&A strategy.

  • Oversee the implementation of the M&A strategy to ensure all the keyobjectivesare met.

  • Manage the M&A function, including:

  • Develop repeatable, efficient, and effective M&A workflow, playbooks, and best practices, including extracting the learnings through the Post-Acquisition Reviews.

  • M&Alead Advisor and lead on the execution of transactions.

  • Providestrategic advice, support, and influence for all acquisitions in the Portfolio, including:

  • Delivering strategic M&A support to the Portfolio Manager

  • Support the purchase agreement negotiation process.

  • Oversee the due diligence process and assumptions.

  • Provide strategic advice and regular updates to all key stakeholders on deal progress.

  • Facilitate the agreement of the investment memoobjectives.

  • Identifyhigh-performing M&A best practices and share these with the Portfolio Manager

  • Identifyingand monitoring target companies, contacting andmaintainingclose dialogue with the owners of those companies, as well as coordinating and executing acquisition transactions (both internal and external processes).

  • Development and maintenance of the M&A pipeline, sourcing, and developing new deal opportunities, both self-generated, through our Corporate Development teamandthroughleveragingour Business Units and referral channels and converting targets to actionable opportunities.

  • Work with internal and external teams during M&A processes, including due diligence, negotiations, and integrations.

  • Lead the due diligence process and develop andmaintainall ofthe key master files for use with all acquisitions.

  • Working with our legal team,tomanage and negotiate non-disclosure agreements and confidentiality agreements with target companies as well as transaction documentation.

  • Produce presentation materials summarizing investment opportunities and recommendations for theVolarisand Volaris leadership teams.

  • Leverage best practices to drive successful acquisitions of businesses for theVolaris

  • Work closely with thePortfolio Managerand the acquired business to develop detailed integration plans (30/60/90-day plans) to ensure our businesses are well integrated and can meet the stated outcomes within the Investment Memo.

  • Working with the Portfolio Manager to build theinvestment thesis of acquisitions.

  • Travel to offices in other locations (international/national)for diligence andinitialintegration support.

  • Perform any other reasonable duties asrequired.

Education and Qualifications

  • Bachelor's or master'sdegree in business management, finance, operations, strategy, or a relevant discipline.

  • 3-5+ years of experience in M&A roles within the software industry.

  • Establishedtrack recordas the M&A lead of a successful multi-location business

  • Experience having successfullyacquiredbusinesses globally.

  • Relevant experience within company valuation, project management, acquisition processes, transactiondocumentsand due diligence, andcanlead work streams in these areas.

  • Strong commercial judgement with the foresight to see how potential acquisitions will fit within the Portfolio.

  • Strong business acumen with the ability toanticipatebusiness trends and takeappropriate actionsthatbenefitthe business.

  • Excellent interpersonal skills and a clear and proactive communicator whomaintainsa steady flow of information and someone who can impart the vision to a broad audience and earn the confidence of others.
