Investment Funds Attorney

Based in Delaware, we are a nationally recognized law firm known for its client-focused approach collaborative culture and commitment to delivering practical results. The Investment Management and Funds practice is expanding and seeking an experienced Investment Funds Attorney to join a growing team representing fund sponsors institutional investors private equity firms hedge funds and asset managers across multiple jurisdictions. This role is ideal for a seasoned funds attorney who values direct client engagement complex transactional work and long-term professional stability within a supportive firm environment. This position offers a competitive base salary of $320,000–$500,000 plus comprehensive benefits and performance bonus.


Responsibilities

  • Advise sponsors fund managers and institutional investors on the formation structuring and ongoing operation of private investment funds including private equity funds hedge funds and venture funds with accuracy and efficiency
  • Draft and negotiate fund formation documentation including partnership agreements operating agreements subscription agreements offering memoranda and side letters across multiple jurisdictions
  • Counsel clients on regulatory and compliance matters involving federal and state securities laws and investment adviser regulations while supporting fund launches capital raising activities and ongoing operational matters
  • Maintain direct client relationships and deliver strategic legal guidance while collaborating with tax corporate and regulatory teams on sophisticated multi-disciplinary transactions


Qualifications

  • JD from an accredited law school with active Delaware Bar admission in good standing; strong academic credentials required
  • 10+ years of experience in investment funds fund formation structuring and compliance with demonstrated experience representing private equity funds hedge funds venture funds and investment advisers
  • Strong organizational communication and time management skills with the ability to thrive in a fast-paced high-volume environment
  • Excellent oral written drafting and negotiation skills with the ability to independently manage sophisticated matters while collaborating effectively within a team and a preference for strong client relationship and business development skills
