Stock Plan Administrator

Fervo Energy

Houston, TX • On-site

Full-time

Posted 12 days ago

Job description

Description

Fervo Energy is a geothermal energy company building next-generation, 24/7 carbon-free power to meet the growing demands of the grid and AI-driven electricity growth. Headquartered in Houston and publicly traded on Nasdaq (FRVO), Fervo is scaling fast, and our equity compensation program is becoming a critical, complex part of how we operate as a public company.

The Stock Plan Administrator will own the end-to-end administration of Fervo's equity compensation programs, including RSU grants and vesting, the Employee Stock Purchase Plan, and 10b-5 trading plans. This person will be the operational backbone of a compliance-heavy function: processing transactions accurately and on time, maintaining the systems of record, and making sure Fervo's insider population can trade within the bounds of federal securities law and company policy.

As our Employee Stock Plan is new, this role will carry a heavier pre-clearance and compliance load than a typical stock administrator seat at a company of our size. The person in this role will work closely with Legal on insider trading policy administration and Section 16 support, with Finance on equity expense, forecasting, and SEC reporting inputs, and with People Operations on employee-facing communication and education about equity awards, ESPP enrollment, and vesting mechanics.

Requirements

Responsibilities

 Equity Plan Administration

  • Administer RSU grants, vesting events, terminations, and forfeitures across multiple vesting schedules.
  • Maintain the stock plan administration platform as the system of record for all equity awards, migrating and reconciling historical data from Carta.
  • Process and reconcile stock transactions, ensuring accuracy between the plan platform, payroll, and Fervo's transfer agent.

Insider Trading & Compliance Support

  • Manage the pre-clearance process for Fervo's insider population, coordinating closely with Legal.
  • Administer 10b-5 trading plans, including setup, monitoring, and required filings alongside outside counsel.
  • Support Section 16 reporting and Form 4 filings, and assist with equity-related inputs to proxy statements and SEC filings.
  • Monitor blackout windows and trading restrictions, and flag potential compliance issues before they become violations.

ESPP Administration

  • Administer the Employee Stock Purchase Plan end to end: enrollment, contribution changes, purchase processing, and disqualifying disposition tracking.
  • Given high participation from our employee base, build scalable processes and self-service resources rather than one-off, manual handling.

Reporting & Cross-Functional Partnership

  • Partner with Finance on equity expense reporting, forecasting, and audit support.
  • Partner with Legal on plan document compliance, grant agreements, and evolving securities requirements as executive compensation ties more closely to market performance.
  • Produce recurring and ad hoc equity reporting for People Operations, Finance, and Legal leadership.

Employee Education & Communication

  • Serve as the primary point of contact for employee questions about RSUs, ESPP, vesting, and trading windows.
  • Build and deliver plain-language education materials so employees understand their equity, especially given how many of them are first-time equity holders.

Qualifications

Required

  • 3-6 years of experience administering equity compensation plans, ideally including RSUs and an ESPP.
  • Experience with a stock plan administration platform (e.g., Fidelity, Shareworks, Certent, E*Trade, Computershare, or Carta).
  • Working knowledge of insider trading compliance, Section 16, Form 4 filings, and 10b-5 trading plans.
  • Advanced Excel skills and strong analytical rigor; comfortable reconciling data across systems.
  • High attention to detail and sound judgment handling confidential, market-sensitive information.
  • Strong written and verbal communication skills; able to explain equity mechanics to non-experts.
  • Willingness to relocate to Houston, or already based in the Houston area.

Preferred

  • Certified Equity Professional (CEP) designation.
  • Experience at a company that recently completed an IPO, including lock-up and increased insider-population management.
  • Direct experience partnering with Legal and Finance on SEC reporting or proxy statement inputs.
  • Experience migrating equity plan administration off of Carta onto a more advanced platform.

Location

This position will be based out of Fervo Energy's headquarters in Houston, TX. Relocation support is available.
