Alamar Biosciences is seeking an experienced Commercial Contracts Counsel to provide part-time support for commercial contracting activities related to customer sales agreements, supplier relationships, and operational partnerships. This consultant will partner closely with Commercial, Operations, Supply Chain, and Leadership teams to review, draft, negotiate, and manage a variety of agreements supporting the company's biotechnology business.
The ideal candidate will have substantial experience supporting biotechnology, life sciences, diagnostics, medical device, pharmaceutical, or healthcare organizations and possess a practical, business-oriented approach to commercial contracting.
Responsibilities
  • Review, redline, and negotiate inbound agreements from suppliers, vendors, manufacturers, service providers, and third-party logistics partners.
  • Draft, review, and negotiate outbound customer agreements, including Master Sales Agreements (MSAs), order terms, and service agreements.
  • Advise internal stakeholders on contractual risk, negotiation strategies, and industry-standard positions.
  • Review and negotiate key commercial terms, including warranties, indemnification provisions, limitation of liability, intellectual property ownership and licensing rights, confidentiality obligations, termination rights and remedies, and dispute resolution provisions.
  • Identify legal, operational, and commercial risks and recommend practical solutions aligned with business objectives.
  • Support contract negotiations with customers, suppliers, and business partners to facilitate timely execution of agreements.
  • Assist with the development and maintenance of contract templates, clause libraries, and negotiation playbooks.
  • Provide general commercial contracting support as needed in a fast-paced and growing biotechnology environment.

Qualifications
  • Juris Doctor (JD) degree.
  • Active bar membership is not required.
  • Minimum of 5 years of experience drafting, reviewing, and negotiating commercial agreements.
  • Demonstrated experience with sales, procurement, supplier, and service agreements.
  • Strong understanding of commercial contracting principles, risk allocation, and negotiation strategy.
  • Ability to work independently with minimal oversight.
  • Excellent written, verbal, and interpersonal communication skills.
  • Experience supporting biotechnology, life sciences, diagnostics, pharmaceutical, medical device, or healthcare companies.
  • Prior experience in an in-house legal, commercial counsel, contracts management, or procurement legal support role.
  • Familiarity with intellectual property, supply chain, and customer contracting issues common within the biotech industry.

The base salary range for this full-time position is $100/hour - $120/hour. Our salary ranges are determined by work location, job-related skills, experience, and relevant education or training. The ranges displayed on each job posting reflect the minimum and maximum target for new hire salaries but are subject to change if the leveling of the role is adjusted.
