Associate Director of M&A

Preamble on Perseus:

Perseus, an operating group of Constellation Software Inc., acquires vertical market software companies around the world with a buy and hold mandate. It provides them with the strategic guidance and financial security they need to become leaders within their respective markets.

We are looking for a driven, hard-working, modelling-guru with the demonstrated potential to become a future leader for the Perseus Operating Group at Constellation Software, a fast-growing global technology company.

The Associate Director of M&A will support the Vice President of M&A throughout the entire M&A life cycle from lead generation through to closing transactions. The expectation is the candidate will be able to lead transactions independently as their career progresses.

Job Location: Toronto, Yonge & St. Clair (onsite 2-3 days/week)

Work Experience/Profile:

  • 5 years of progressive work experience at a top tier accounting, capital advisory, investment banking, management consulting, transaction services and/or private equity firm, with 2-3 years of mid-market deal experience executing transactions

  • Experience working with small owner-managed businesses as a client/target

  • Buy side experience is a plus but not required

  • CPA, CA designation / CFA / and/or MBA are considered assets

  • Excellent attention to detail, and the ability to work in a fast-paced environment, manage multiple priorities and meet tight deadlines

  • Strong communication skills (both verbal & written) with an emphasis on relationships, report writing, and research analysis

  • Advanced Excel, PowerPoint, and exceptional Financial Modelling skills

  • Ability to work variable hours and travel when required to close transactions

  • Confidence and polish is required for frequent interaction with Senior Executives, Business Owners, Investment Bankers, Lawyers, Accountants, and other key Stakeholders

Job Responsibilities

  • Support the VP of M&A throughout the entire M&A process with the opportunity to independently lead the acquisition process from start to finish in time

  • Qualifying targets for fit and deal probability through early conversations with business owners/senior executives and review of initial diligence materials

  • Performing detailed financial analysis on the financial statements and underlying data to identify trends and assess business strength and quality

  • Building a detailed financial model in Excel to determine valuation

  • Facilitating the due diligence process and coordinating across multiple internal teams

  • Maintaining relationships with decision makers at acquisition targets

Salary Range (Ontario & BC Only):

The estimated base salary range for this role is CAD$126,000.00 - CAD$154,000.00 per year.
