What is an NDA attorney?

An NDA attorney is a legal professional who specializes in drafting, reviewing, and advising on non-disclosure agreements (NDAs). NDAs are legal contracts used to protect confidential information shared between parties, often in business or employment contexts. NDA attorneys help ensure these agreements are enforceable, protect clients' interests, and comply with relevant laws. They also assist in negotiating terms and handling disputes that may arise from breaches of confidentiality.

What are some common challenges faced by NDA attorneys when negotiating confidentiality agreements with multiple parties?

NDA Attorneys often encounter challenges such as balancing the interests of different parties, ensuring clarity in the scope and duration of confidentiality, and addressing jurisdictional issues. Negotiating terms that are acceptable to all involved while protecting their client’s sensitive information requires strong communication skills and attention to detail. It’s also common for NDA Attorneys to collaborate closely with business, technical, and compliance teams to ensure the agreement aligns with organizational needs. Regularly handling these negotiations helps attorneys build expertise in contract law and strengthen their problem-solving abilities.

What are the key skills and qualifications needed to thrive as an NDA attorney, and why are they important?

To thrive as an NDA Attorney, you need a strong foundation in contract law, intellectual property, and experience drafting and negotiating nondisclosure agreements, usually supported by a JD and bar admission. Familiarity with legal research databases like Westlaw or LexisNexis and document management systems is essential. Exceptional attention to detail, negotiation skills, and discretion set top performers apart in this role. These competencies ensure the effective protection of sensitive information and minimize legal risks for clients or organizations.

Job description

What you'll do

As Paralegal, you'll take full ownership of the NDA & intake process. You'll drive NDAs to execution independently, without attorneys needing to be involved. You'll maintain a centralized legal intake process - a single place where requests come in, get triaged, and get worked - and then hold the rest of the company accountable to using it. You'll own the signature pipeline end to end: queuing documents, sending them out, and tracking them to completion. This is a highly autonomous role: you'll be given the outcome we need and trusted to enforce the process to get there, adapting as priorities shift.

This role starts as an individual contributor with real scope across every project at Giga, and there's a clear path to take on bigger, more complex work as you prove out the process.

Where you'll work

This role is remote. Travel is light - expect roughly 0-10%, mainly for occasional in-person team time.

Responsibilities
  • Own the end-to-end NDA process - draft, negotiate, and drive NDAs to execution independently, escalating to attorneys only on true edge cases.
  • Design and own a centralized legal intake process, replacing today's scattered mix of personal email, Slack channels and DMs, and texts with a single, clear front door for legal requests.
  • Triage incoming legal requests - route them appropriately and set expectations on turnaround.
  • Enforce the intake process company-wide: when requests bypass it, redirect requesters back into the right workflow, including on Dave's behalf.
  • Manage the full signature pipeline - queue documents, send for e-signature, and track them to completion.
  • Maintain and organize the contract repository so agreements are easy to find, track, and report on.
  • Partner with attorneys and business teams to keep the legal function organized and responsive as request volume grows.
  • Take on larger, higher-complexity projects as you build trust and track record in the role.
Requirements
  • 7+ years of experience as a paralegal or in a similar legal operations role.
  • Experience independently managing NDAs from drafting through execution.
  • Experience building, running, or significantly improving a legal intake or triage process.
  • Working knowledge of e-signature tools, contract repositories, and contract lifecycle management (CLM) tools.
  • Ability to work autonomously with minimal oversight, exercising sound judgment on when to escalate to attorneys.
  • Comfortable enforcing process consistently while staying flexible as priorities and workflows shift.
Bonus points
  • Paralegal certificate.
  • 10+ years of experience in a legal operations or paralegal role.
  • Experience standing up legal intake or operations processes from scratch.
  • Experience supporting legal teams at a high-growth or fast-paced company.
  • Experience preparing legal notes or executive briefs.
Benefits
  • Subsidized health, dental, and vision insurance
  • Equity (options) in a rapidly growing startup
  • 401(k) with 4% employer match
  • Unlimited PTO
  • Parental leave
  • Healthcare and Dependent Care Flexible Spending Accounts (FSA) or Health Savings Account (HSA)
  • Commuter benefits
  • Monthly team on-sites where all offices come in-person to collaborate
