ABOUT THE ROLE

We are seeking a highly organized and detail-oriented Contract Specialist to support our Legal team, reporting to the Associate General Counsel. This role will own the first-pass review and drafting of routine commercial agreements, manage contract intake and workflows, and maintain our contract templates and systems. You will play a critical role in driving efficiency, reducing risk, and ensuring consistency across the company's contracting processes.

Some of the responsibilities you can expect include the following:

  • Conduct first-pass review and redlining of NDAs, vendor agreements, SaaS contracts, and standard services agreements using established playbooks
  • Draft contracts from approved templates and apply appropriate fallback positions
  • Escalate non-standard, complex, or high-risk issues to the Associate General Counsel
  • Triage incoming contract requests and route them appropriately
  • Maintain contract status trackers, including execution, renewals, and expirations
  • Ensure complete documentation (SOWs, exhibits, insurance certificates, data protection terms, etc.) prior to execution
  • Keep contract templates current and aligned with Legal's risk posture
  • Update playbooks and fallback language in coordination with attorneys
  • Maintain a clean, organized clause library to support efficient negotiation
  • Coordinate signature packets and associated workflows
  • Oversee contract management processes, ensuring organized, accessible, and compliant documentation practices
  • Maintain strong contract hygiene across business units
  • Partner with cross-functional stakeholders to gather business terms and confirm scope completeness
  • Manage internal expectations around timelines and deliverables
  • Coordinate post-execution handoffs to other teams
  • Provide monthly contract activity metrics to Legal Ops and the CLO
  • Identify recurring bottlenecks and recommend process and template improvements
  • Support implementation of lightweight automation tools (e.g., NDA automation, intake workflows)

ABOUT YOU

  • 3-7+ years of experience reviewing, redlining, and managing commercial contract lifecycles
  • Strong working knowledge of NDAs, vendor agreements, and services contracts
  • Demonstrated experience conducting high-volume NDA review and redlining independently
  • Comfortable redlining against playbooks and applying fallback language independently
  • Highly organized with exceptional attention to detail
  • Able to manage multiple contracts and deadlines simultaneously
  • Strong written and verbal communication skills
  • Proactive, solutions-oriented, and comfortable working in a fast-paced environment
  • Experience with contract lifecycle management tools and e-signature platforms (e.g., HelloSign, DocuSign)
  • Sound judgment in identifying when to escalate legal or risk issues
