The Opportunity

This role provides strategic leadership of legal services and coordination on compliance matters supporting designated Munich Re America corporate functions and reinsurance businesses and other designated enterprise legal functions. Acts as a senior legal advisor to executive leadership, ensuring legal support is delivered in a practical, business-oriented manner while aligning with regulatory obligations and enterprise objectives. The role has direct oversight responsibility for the Munich Re America Services, Inc. (MRAS) regional Enterprise Transactions, Privacy and Reinsurance functions and acts as the primary legal advisor to the MRAS Chief Financial Officer and their Financial and Management Reporting (FMR) organization. The role includes significant involvement in mergers and acquisitions transactions, investments and financial matters, designated entities' corporate and board governance and (re)insurance matters. In coordination with the Head of Compliance, North America, the role supports an effective governance and control environment for the businesses and functions it serves.
Responsibilities:
  • Lead U.S. legal work for acquisition/divestitures, integration and service orders, oversee due diligence and antitrust filings and, if needed, CFIUS filings. Coordinate closely with Munich-based Group Compliance & Legal.
  • Negotiate and close alternative equity, debt and securities lending transactions, advise the business on statutory accounting and capital treatment, lead or oversee alternative investment reorganization and capital contributions to all U.S. affiliates.
  • Provide strategic legal guidance to executive leadership and oversight in general corporate and corporate governance matters for Munich Re American Reinsurance and Munich Re America Corporation.
  • Lead and oversee legal support for Munich Re America's Reinsurance (treaty and facultative) business, ensuring alignment with Group Legal policies.
  • Provide direct leadership and supervision for MRAS Legal & Compliance's regional Enterprise Transactions, Privacy, and Reinsurance functions.
  • Support (re)insurance product development, underwriting, distribution structures, and new business initiatives through timely and business-oriented legal advice.
  • Serve as key liaison with regulators on mergers and acquisitions transactions and matters impacting Reinsurance operations.
  • Manage and support non-claims litigation, regulatory examinations, and corporate legal matters.
  • Oversee and/or coordinate guarantees or loan agreements needed to support affiliates' derivative business.
  • Partner with the Head of Compliance, North America on compliance-related matters.
  • Lead legal talent management and budget oversight for designated functions and partner with Legal Operations on process improvements to ensure efficient service delivery.
  • Serve as the primary legal advisor to the MRAS CFO and FMR organization.

Qualifications:
Successful candidates will possess the following skills/capabilities:
  • Juris Doctor (JD) from an accredited law school.
  • Licensed to practice in at least one U.S. jurisdiction; eligible for applicable in-house licensing.
  • Substantial experience supporting U.S. (re)insurance and/or insurance businesses as in-house and/or outside counsel. Ten to 15+ years' experience preferred.
  • Proven ability to successfully advise senior executives and manage regulatory interactions.
  • Strong understanding of U.S. (re)insurance, commercial filing/market conduct requirements, corporate finance and governance and mergers and acquisitions.
  • Proven ability to lead and inspire people, high emotional intelligence and demonstrated success attracting, developing and retaining talent.
  • This role requires in-person presence in the Princeton, New Jersey office a minimum of two (2) days/week.

The Company is open to considering candidates in Princeton, NJ. The salary range posted below applies to the Company's Princeton location.
The base salary range anticipated for this position is $283,200 - $415,400 plus opportunity for company bonus based upon a percentage of eligible pay. In addition, the company makes available a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, 401k match, retirement savings plan, paid holidays and paid time off (PTO).
The salary estimate displayed represents the typical salary range for candidates hired in this position in Princeton, NJ. Factors that may be used to determine your actual salary include your specific skills, how many years of experience you have and comparison to other employees already in this role. Most candidates will start in the bottom half of the range.
