Job description

Chief Legal Officer

Job Location: Miami, FL 33178

Responsibilities
  • Advising executives and senior employees on laws, regulations and other legal documents that would impact on the functionality of the business.
  • Overseeing the legal matters of the business, including acting as the businessโ€™ legal representative.
  • Oversee all legal aspects of reinsurance arrangements, multinational insurance regulatory matters and international dispute resolution.
  • Create strategies, systems and controls to achieve compliance with regulatory requirements for all BDI entities.
  • Work with Chief Risk Officer to create policies and procedures to comply with requirements of relevant jurisdictions.
  • Advice on all manners of legal documents including agency agreements, terms of trade, employment and IT contracts, property lease, sale and purchase agreements, deeds etc.
  • Coordinate and manage the cost, output and value of outsourced legal advisors related to matters and legal disputes.
  • First point of contact for any legal issues.
  • Quality control and improvement of overall BDI contracts and binding agreements including reviewing of all insurance / reinsurance contracts, policy wordings and documents etc. to ensure compliance.
  • Create and oversee processes to ensure compliance with applicable Anti-Money Laundering and privacy laws and regulations.
  • Liaise with insurance manager and regulators to ensure required notification of any changes to the corporate structure or business plan.
  • Monitor and advise on compliance issues relating to potential or actual acquisitions.
  • Coordinate with Chief People Officer and employment counsel regarding legal related employment matters.
  • Manage outsourced compliance consultants where utilized.
  • Responsible for oversight of and response to any questions or complaints from regulatory bodies.
  • Provide or organize training on compliance issues for compliance officers and senior executives.
  • Report to the board on any areas of risk or potential areas of non-compliance.
  • Take responsibility for establishing and maintaining up-to-date personal and teamโ€™s awareness of all legislative, regulatory and Company-specific rules, policies and procedures.
  • Liaise with shareholder legal teams as well as our various Board members and key regulatory stakeholders.
Qualifications
  • Bilingual would be useful but not essential.
  • Good oral and written communication skills.
  • Exceptional capacity for leading and managing people.
  • Highly self-motivated, self-directed, and attentive to detail.
  • Ability to effectively prioritize and execute tasks in a high-pressure environment.
  • Extensive experience working in a team-oriented, collaborative environment.
  • Comfortably operating in an area where applicable laws and regulations may not be apparent and be able to assess and balance competing legal and compliance risks.
Education and Experience
  • Appropriate legal and professional qualifications (JD etc.).
  • Extensive experience as General Counsel in an insurance environment with specific IPMI knowledge is a bonus.
  • Extensive M&A experience.
  • Experience managing the legal operations of a complex multi-jurisdictional insurance business with extensive international regulatory exposure.
