Mid-Level Mergers & Acquisitions Associate Attorney

Locations: Portland, OR | Seattle, WA | San Francisco, CA

Compensation: $215,000–$290,000 (based on experience and qualifications)

About the Opportunity

Direct Counsel is seeking a Mid-Level Mergers & Acquisitions Associate Attorney to join a highly regarded national law firm's Corporate Practice. This opportunity is ideal for an attorney with 3–5 years of M&A experience who is looking to work on sophisticated middle-market transactions while taking on meaningful responsibility and developing strong client relationships.

The successful candidate will collaborate closely with partners and senior attorneys on complex transactions involving private companies, strategic buyers and sellers, and investors across a variety of industries.

Responsibilities
  • Support middle-market mergers and acquisitions, including buy-side and sell-side transactions

  • Assist with transaction structuring, due diligence, negotiation, and closing processes

  • Draft and negotiate:

    • Purchase agreements

    • Disclosure schedules

    • Ancillary transaction documents

    • Closing documentation

  • Coordinate due diligence reviews and manage transaction workstreams

  • Advise clients on corporate governance and transactional matters related to M&A deals

  • Collaborate with attorneys across multiple practice areas, including tax, employment, real estate, intellectual property, and technology transactions

  • Work directly with clients, partners, and deal teams to manage transaction timelines and deliver high-quality legal services

Qualifications
  • J.D. from an accredited law school

  • Admission (or eligibility for admission) in the state where the position is based

  • 3–5 years of mergers and acquisitions experience at a law firm

  • Experience representing private companies in M&A transactions preferred

  • Strong drafting, negotiation, analytical, and organizational skills

  • Ability to manage multiple matters in a fast-paced, collaborative environment

  • Demonstrated commitment to building a transactional practice and handling sophisticated corporate matters
