Commercial Finance Attorney

Senior | Secured Lending & Acquisition Financing | Rochester, NY | Full‑Time | In‑Office | $159,000–$192,000 | 1,800 Billable Hours (Alternate office option: Buffalo, NY)

About the Opportunity

A respected Western New York business law firm is seeking a Senior Commercial Finance Attorney to join its established corporate and finance practice. This role is ideal for attorneys with substantial experience in commercial lending who want to handle sophisticated transactions while working in a collaborative environment that prioritizes quality legal work, client relationships, and long‑term career development.

You will negotiate complex credit facilities, advise lenders and borrowers on secured lending and acquisition financing, and work alongside highly respected attorneys on high‑value business transactions throughout New York and beyond.

Key Responsibilities
  • Represent lenders, borrowers, and corporate clients in commercial finance transactions.
  • Draft, negotiate, and review credit agreements, security agreements, loan documents, and related financing instruments.
  • Advise clients on secured lending transactions and commercial finance matters.
  • Structure and negotiate financing aspects of mergers and acquisitions.
  • Perform legal due diligence for financing transactions.
  • Collaborate with corporate, tax, real estate, and securities attorneys.
  • Identify legal risks and provide practical business‑focused solutions.
  • Manage multiple sophisticated transactions simultaneously.
  • Develop trusted relationships with business clients and financial institutions.
  • Stay current on finance laws and evolving market trends.

Qualifications
  • Juris Doctor (J.D.) from an accredited law school.
  • Active admission to the New York State Bar or willingness to obtain admission.
  • Minimum 6 years of commercial finance law experience.
  • Extensive experience drafting and negotiating credit and security agreements.
  • Strong knowledge of commercial lending transactions.
  • Excellent negotiation, drafting, analytical, and communication skills.
