Investment Funds Mid-Level Associate Attorney
Preferred Locations: Charlotte, Chicago, or New York
Additional Locations Considered: Dallas, Houston, Los Angeles, Miami, San Francisco, Silicon Valley, or Washington, DC
Compensation: $310,000 โ€“ $390,000 base salary (commensurate with experience)

Direct Counsel is seeking an Investment Funds Mid-Level Associate to join a top-tier, national law firm with a premier private equity and investment management practice.

The ideal candidate will have 4โ€“6 years of significant experience advising private equity sponsors and institutional investors on fund formation and related matters, preferably gained at a large law firm or, in limited circumstances, in an in-house setting.

Key Responsibilities Include:

  • Assisting private equity fund sponsors with fund formation matters, including drafting and negotiating:

    • Private placement memoranda

    • Limited partnership agreements

    • Side letters and related ancillary agreements

  • Reviewing fund documentation on behalf of institutional investors and negotiating fund terms

  • Structuring and drafting governing documents for private equity fund management companies and general partners

  • Advising on regulatory matters applicable to private investment funds

Qualifications:

  • 4โ€“6 years of private equity fund formation experience

  • Working knowledge of relevant securities laws and regulations, including the Investment Advisers Act

  • Experience with private equity secondary transactions and/or GP-led restructurings is a plus

  • Excellent drafting, negotiation, and client communication skills

  • Admission to the state bar in the office location (or eligibility for prompt admission)
