Are you excited about helping shape the legal foundation of a fast-growing B2B SaaS company?

At HYCU, we're building the future of data protection for modern, cloud-native environments. As we continue to scale globally, we're looking for a Senior Legal Counsel to own and scale our commercial contracting engineโ€”enabling revenue while protecting the companyโ€”and to lead key legal workstreams including data protection contracting and IP strategy.

This is a high-impact role where you'll partner most closely with Sales, GTM, Deal Desk, Finance, and RevOps to drive efficient deal cycles and establish repeatable contracting standards. You'll also support Product and Leadership on data protection/privacy contracting and the protection of HYCU's intellectual property.

Location:

  • Boston, MA (Hybrid; minimum 3+ days onsite/week)
  • Chicago, IL (Hybrid; minimum 3+ days onsite/week)
  • Remote, U.S. (outside of 40 miles radius from an office, must be EST)

What You'll Do:

  • Own and scale commercial contracting (Sales/GTM)
    • Draft, review, and negotiate customer and partner agreements, and own the end-to-end contracting workflow from intake through signature (including playbooks, fallback positions, approval routing, and continuous improvement)
    • Partner with Sales, Deal Desk, Finance, and RevOps to keep deals moving efficiently while maintaining clear risk posture on key terms (liability, indemnities, warranties, data use, and IP)
    • MSAs / SaaS subscription agreements, order forms, and renewals
    • Data Processing Agreements (DPAs), including SCCs and other cross-border transfer terms where applicable
    • Security exhibits and customer procurement addenda (audit rights, incident notification, security controls, and confidentiality)
    • Service level agreements (SLAs) and support terms
    • Partner, reseller, referral, and alliance agreements
    • Vendor, technology, and data-related contracts (including SOWs) and NDAs
  • Be a strategic legal partner to the business
    • Serve as a trusted advisor to leadership and cross-functional teams on legal, compliance, and risk matters related to commercial contracting and go-to-market execution
    • Partner closely with Sales and GTM teams to support revenue growth while protecting the company's interests
  • Guide the company through legal and regulatory complexity
    • Support practical, scalable compliance and risk processes that directly impact customer and vendor contracting for a global B2B SaaS business
    • Advise on data protection, privacy, and security contracting and compliance (e.g., DPAs, SCCs, security terms, audit rights, breach/incident notification, and data use), partnering closely with Security/Compliance and Product teams; support global frameworks such as GDPR as the company scales
    • Support the development of scalable policies and processes as the company grows
  • Protect and strengthen our intellectual property (IP)
    • Own HYCU's IP strategy and coordinate with outside counsel, including invention assignment, contractor/employee IP provisions, confidentiality and trade secret protection, and trademark/patent/copyright matters
    • Support product and go-to-market initiatives by spotting and mitigating IP risk (including open-source software review/compliance, licensing questions, and third-party IP considerations) and assisting with IP diligence for strategic partnerships

What We're Looking For:

  • Juris Doctor (JD) from an accredited law school and active bar membership in good standing
  • 7+ years of legal experience, with significant hands-on experience drafting and negotiating B2B SaaS commercial agreements (ideally with a mix of law firm and in-house experience)
  • Demonstrated experience supporting commercial sales teams and enterprise customer contracts
  • Strong knowledge of SaaS business models, subscription licensing, and cloud computing is a must
  • Deep expertise in commercial contracts, technology transactions, and risk management
  • Excellent negotiation, drafting, and communication skills
  • Ability to operate independently and prioritize effectively in a fast-paced environment
  • Strong business judgment and the ability to translate legal complexity into practical guidance
  • High level of integrity, professionalism and ethical conduct
  • Intellectual curiosity and enthusiasm for learning new technologies

It's Great if You Have:

  • Experience supporting B2B SaaS companies
  • Familiarity with industries such as cloud infrastructure, data protection, cybersecurity, or storage
  • Experience with employment law or HR-related legal matters
  • Experience helping companies scale legal processes during periods of high growth

What Success Looks Like:

In your first year you will:

  • Become a trusted legal partner to our Sales and GTM teams
  • Streamline and scale our commercial contracting processes (playbooks, approvals, and turnaround times)
  • Strengthen our data privacy and security contracting framework (DPAs, SCCs, and security exhibits)
  • Sharpen and operationalize our IP strategy in partnership with outside counsel
  • Help build repeatable legal infrastructure for a rapidly scaling SaaS company

Pay Transparency

The anticipated cash compensation range for this position is $185,000 โ€“ $235,000 annually. The cash compensation package includes base salary, on-target commission for employees in eligible roles, and annual bonus targets under HYCU's bonus plan for eligible roles. In addition to cash compensation, all roles are eligible to participate in HYCU's equity plan and benefits program. Individual compensation packages are determined by a combination of factors unique to each candidate, including location, level, relevant experience, and skills. The range displayed on each job posting reflects the minimum and maximum target for the position across all US locations. Actual compensation may deviate from this range based on experience, skills and qualifications.
