Senior Associate Transaction Counsel

Louisville, KY | In-Person with consideration for remote flexibility

Molt Legal Partners is recruiting on behalf of an innovative boutique corporate law firm in Louisville, Kentucky, seeking a Senior Associate Transaction Counsel to join its growing practice.

This firm serves entrepreneurs and small- to mid-sized businesses in sophisticated transactional matters, including mergers and acquisitions, fundraising, commercial contracts, and entity structuring. The practice operates on a project-based fee model rather than billable hours, allowing attorneys to focus on delivering exceptional legal work instead of tracking time.

This is an outstanding opportunity for an experienced corporate attorney who enjoys meaningful client relationships, sophisticated transactions, and a collaborative environment without the pressure of business development or firm politics.

What You'll Do
  • Lead transaction execution from start to finish with oversight, support, and significant autonomy
  • Draft and negotiate asset purchase agreements, stock purchase agreements, convertible notes, commercial contracts, and other transactional documents
  • Communicate directly with clients, opposing counsel, lenders, accountants, and other transaction participants
  • Work closely with the firm's partners on sophisticated corporate matters
  • Help improve internal workflows, systems, and firm processes as the practice continues to grow
What We're Looking For
  • 4-6+ years of experience practicing corporate or transactional law in a law firm or in-house legal department
  • Strong drafting, negotiation, analytical, and issue-spotting skills
  • Ability to independently manage sophisticated transactions with sound judgment

  • Interest in helping build efficient legal workflows and utilizing modern technology, including AI-assisted drafting tools
