Position Overview
We are seeking a skilled Healthcare Transactional Attorney to provide counsel on a broad range of health care regulatory and transactional matters. The attorney will support transactions, contracts, corporate structuring, and compliance initiatives for health care providers, payers, and related entities. The role focuses on ensuring regulatory compliance with statutes such as the Anti-Kickback Statute, Stark Law, False Claims Act, and EMTALA while enabling business objectives and mitigating legal risk.
Key Responsibilities
- Advise on and negotiate a wide variety of health care transactions, including mergers and acquisitions, joint ventures, managed care agreements, medical group arrangements, and service agreements.
- Draft, review, and negotiate commercial contracts, physician employment and independent contractor agreements, clinical affiliation agreements, and vendor contracts to align with regulatory and business requirements.
- Provide regulatory compliance counseling related to the Anti-Kickback Statute, Stark Law, False Claims Act, EMTALA, HIPAA, and other federal and state health care laws and regulations.
- Conduct legal analysis and risk assessments for proposed business arrangements and organizational structures; develop mitigation strategies and compliance solutions.
- Support due diligence for transactions, including identifying regulatory issues, preparing diligence reports, and coordinating remedial action plans.
- Collaborate with business, compliance, finance, and clinical teams to implement contract playbooks, policies, and standard operating procedures that promote compliance and operational efficiency.
- Respond to internal and external inquiries, regulatory requests, audits, and investigations; prepare legal memoranda and guidance for leadership.
- Monitor changes in health care laws and regulations, provide training for staff and leadership on key compliance topics, and contribute to policy updates and risk management initiatives.
Qualifications
- Juris Doctor (JD) from an accredited law school and member in good standing of at least one state bar.
- 3+ years of experience practicing health care law, with significant exposure to transactional matters; experience as an Associate at a law firm or in-house counsel preferred.
- Demonstrated expertise with health care regulatory frameworks, including the Anti-Kickback Statute, Stark Law, False Claims Act, and EMTALA; familiarity with HIPAA and reimbursement issues a plus.
- Proven drafting, negotiation, and transactional experience in mergers and acquisitions, commercial contracting, and provider arrangements.
- Strong analytical and problem-solving skills with the ability to translate complex legal concepts into practical business advice.
- Excellent written and oral communication skills, with experience preparing legal memoranda, compliance policies, and training materials.
- Ability to work collaboratively in cross-functional teams, manage multiple projects and deadlines, and exercise sound judgment in high-stakes transactions.
