Job Description

This is an exceptional opportunity for a highly motivated and astute attorney to join a burgeoning New York practice dedicated to the lifecycle management of emerging growth companies and the premier venture capital funds that fuel them. The role mandates a holistic approach to advising high-potential clients from their nascent stages through market maturity.

Core responsibilities involve spearheading and executing the full spectrum of sophisticated corporate transactions, including:

  • Corporate Formation and Governance: Guiding founders through initial structuring, equity compensation planning, and critical governance matters.
  • Capital Formation: Managing multi-stage, complex financing rounds, including seed, Series A through E, and strategic debt financing for high-growth entities.
  • Strategic Transactions: Taking a primary role in mergers, acquisitions, and divestitures (M&A) involving technology and life science entities, coordinating all phases of due diligence and negotiation.
  • Advising Investors: Providing comprehensive counsel to institutional investors and venture funds in connection with their investment activities and portfolio management.
  • National Level Sophistication: Collaborating with national teams on matters that shape the future of technology and commerce, offering direct access to partner-level mentorship and institutional knowledge.


Qualifications

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.
