Mid-Level Corporate Associate – Montgomery County, PA

A well-established law firm is seeking a Mid-Level Corporate Associate to join its corporate practice in Montgomery County, PA. This role is ideal for an attorney with 4–6 years of corporate and M&A transactional experience, including private equity and venture capital financings, corporate governance, and commercial contracts.

Key Responsibilities
  • Draft, review, and negotiate corporate agreements, including stock and asset purchase agreements, commercial contracts, and other transactional documents

  • Support mergers, acquisitions, and corporate transactions for a diverse client base

  • Advise clients on corporate governance, partnership, and equity structures

  • Handle routine matters independently, while collaborating with partners and other team members

  • Apply knowledge of corporate and partnership taxation concepts in transactional work

  • Maintain direct client interaction on matters within the corporate practice

Qualifications
  • JD from an accredited law school; admitted to practice in Pennsylvania

  • 4–6 years of experience in corporate and M&A transactions

  • Strong writing, analytical, and communication skills
