Manager, Corporate Finance & Transactions Paralegal

Responsible for managing dayโ€‘toโ€‘day paralegal operations and providing crucial support to the Corporate Finance, Corporate Reporting, and Commercial & Affiliate Transactions teams within the Legal Department. This role requires comfort managing multiple deadlines, coordinating across teams, and maintaining high levels of accuracy in documentation.

What Youโ€™ll Do
  • Assist attorneys in drafting, reviewing, and organizing transactional documents, contracts, and agreements.
  • Assist attorneys through all phases of transactions (inception โ†’ closing โ†’ postโ€‘closing).
  • Support SEC filings, including 10โ€‘Kโ€™s, 10โ€‘Qโ€™s, 8โ€‘Kโ€™s, prospectuses, registration statements, and other disclosure documents.
  • Support loan sales and assetโ€‘backed securitizations, warehouse facilities, and other finance transactions.
  • Assist attorneys in drafting and managing commercial contracts, amendments, and templates.
  • Develop and maintain an efficient system for organizing and managing accurate and auditโ€‘ready legal documents, contracts, closing checklists, trackers, and deal documentation sets.
  • Track deliverables, deadlines, and dependencies to ensure timely and efficient execution of transactional documents.
  • Coordinate and manage legal projects, ensuring timely completion and adherence to project objectives, including the ability to support multiple concurrent deals.
  • Support effective control design, testing, and implementation for the teams and the broader Legal Department.
  • Collaborate with crossโ€‘functional teams to gather necessary information, track progress, and facilitate project collaboration.
Qualifications

Minimum:

  • Solid understanding of legal principles, processes, and procedures across various practice areas.
  • Exceptional organizational and project management skills, with the ability to prioritize and meet deadlines.
  • Discretion and demonstrated ability to properly manage and handle confidential and/or material nonโ€‘public information.
  • Proficiency in document and transaction management.
  • Excellent communication and interpersonal skills to collaborate with stakeholders at all levels.
  • Detailโ€‘oriented and able to maintain accuracy while handling multiple tasks in a fastโ€‘paced environment.

Preferred:

  • Bachelor's degree in paralegal studies, legal studies, or a related field.
  • 5โ€‘10 years of corporate paralegal experience.
  • Experience with capital markets, securitization, or financial services.
  • Six Sigma certification.
