Contract Reviewer / Negotiator

Location: Headquarters - Edmond, Oklahoma
Schedule: Monday - Friday | 8:00 AM - 5:00 PM
Employment Type: Full-Time


Position Overview

Orion Security Solutions (OSS) is seeking an experienced Contract Reviewer / Negotiator to support our growing operations nationwide. This role is responsible for reviewing, analyzing, negotiating, and managing customer, vendor, subcontractor, and government contracts to ensure favorable terms, mitigate risk, and maintain compliance with company policies and legal requirements.

The ideal candidate will have a strong background in contract administration, risk assessment, legal document review, and negotiation. This position works closely with executive leadership, operations, sales, project management, and external legal counsel to support the company's strategic objectives while protecting its interests.

Essential Duties and Responsibilities

Contract Review and Negotiation

  • Review customer, subcontractor, vendor, supplier, and service agreements for legal, operational, and financial risks.
  • Negotiate contract terms and conditions to achieve favorable outcomes while minimizing company exposure.
  • Identify and communicate contractual obligations, liabilities, and risks to stakeholders.
  • Review requests for proposals (RFPs), requests for quotes (RFQs), master service agreements (MSAs), statements of work (SOWs), purchase orders, and related documents.
  • Draft contract revisions, amendments, addendums, and supporting documentation.
  • Coordinate with outside legal counsel when specialized legal review is required.

Risk Management and Compliance

  • Evaluate contractual language related to indemnification, insurance, warranties, limitations of liability, payment terms, dispute resolution, confidentiality, and compliance requirements.
  • Ensure contracts comply with applicable federal, state, and local regulations.
  • Develop recommendations to mitigate legal, financial, and operational risks.
  • Maintain awareness of industry best practices and regulatory changes affecting contract administration.

Contract Administration

  • Manage contracts throughout their lifecycle, from review and execution through renewal or termination.
  • Maintain accurate contract records and documentation.
  • Track contract milestones, renewal dates, notice periods, and compliance requirements.
  • Develop and maintain contract templates, standard terms, and review processes.

Cross-Functional Collaboration

  • Serve as a contract resource for sales, operations, project management, finance, procurement, and executive leadership.
  • Provide guidance regarding contractual obligations and requirements.
  • Assist with customer negotiations and contract discussions as needed.
  • Support strategic initiatives involving contract review and risk assessment.

Process Improvement

  • Develop and implement efficient contract review procedures.
  • Recommend improvements to contract management practices and internal controls.
  • Create standardized documentation and workflows to improve consistency and efficiency.


Qualifications

Required

  • Minimum of 5 years of experience in contract review, contract administration, contract negotiation, legal support, procurement, or a related field.
  • Strong understanding of commercial contract terms and risk allocation.
  • Experience reviewing and negotiating customer and vendor agreements.
  • Excellent written and verbal communication skills.
  • Strong analytical, organizational, and problem-solving abilities.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • High attention to detail and accuracy.
  • Proficiency with Microsoft Office Suite, including Word and Excel.

Preferred

  • Experience within construction, technology, security integration, telecommunications, or related industries.
  • Experience reviewing government, public sector, or municipal contracts.
  • Bachelor's degree in Business Administration, Legal Studies, Paralegal Studies, Finance, or a related field.
  • Contract management certification (CPCM, CCCM, or similar) is a plus.
  • Experience working with outside counsel and insurance requirements.
