Mergers & Acquisitions Associate Attorney
Locations: New York, NY | Philadelphia, PA

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney to join the Corporate & Securities practice of a premier Am Law firm. This opportunity is ideal for an attorney looking to take on significant client responsibility while working on sophisticated domestic and cross-border M&A and private equity transactions alongside a nationally recognized corporate team.

The ideal candidate will have 4–7 years of law firm experience representing buyers, sellers, sponsors, and financial advisors in complex mergers, acquisitions, and private equity transactions.

Responsibilities
  • Represent buyers, sellers, private equity sponsors, and financial advisors in complex domestic and cross-border mergers and acquisitions.
  • Draft, review, and negotiate purchase agreements, equity documents, ancillary transaction documents, and other corporate agreements.
  • Serve as a key member of transaction teams, managing significant portions of deals from due diligence through closing.
  • Coordinate legal due diligence efforts and assist with transaction structuring and execution.
  • Advise clients on strategic legal, business, and commercial issues arising throughout the transaction lifecycle.
  • Work closely with partners and clients while taking on meaningful client-facing responsibilities and developing long-term client relationships.
  • Collaborate with attorneys across multiple practice areas to provide comprehensive legal solutions for sophisticated transactions.
Qualifications
  • J.D. from an accredited law school with strong academic credentials.
  • 4–7 years of experience handling mergers and acquisitions and private equity transactions at a law firm.
  • Significant experience drafting and negotiating acquisition agreements, equity documents, and related transaction documentation.
  • Demonstrated experience managing key aspects of transactions, including due diligence, document preparation, negotiation, and closing.
  • Excellent drafting, analytical, negotiation, and communication skills.
  • Strong attention to detail and the ability to manage multiple sophisticated transactions in a collaborative environment.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
Compensation & Benefits
  • Salary: Starting at $310,000, with compensation commensurate with class year and experience.
