Job description

The Legal Counsel serves as the organization's legal resource and is responsible for providing independent legal advice and counsel in support of business operations, contracts, leasing activities, and strategic initiatives. This position requires a highly self-directed attorney capable of managing a broad range of legal matters with minimal supervision while exercising sound legal judgment and risk assessment. The role is primarily responsible for drafting, reviewing, negotiating, interpreting, and managing commercial contracts, leases, Business Associate Agreements (BAAs), and other legal documents.ResponsibilitiesResponsible for using specialized knowledge of national, state, and/or local laws to advise and represent the organizations in legal matters. Provides legal advice and counsel in support of business activities and transactions. Researches and interprets existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risk.
  • Serve as the organization's primary legal advisor for contract, leasing, and business matters.
  • Independently manage day-to-day legal matters and provide practical legal guidance.
  • Draft, review, negotiate, and interpret commercial agreements.
  • Draft, review, negotiate, and manage real estate leases and related documents.
  • Draft, review, negotiate, and oversee execution of Business Associate Agreements (BAAs).
  • Identify and mitigate legal and business risks.
  • Research and interpret laws and regulations.
  • Prepare legal memoranda, correspondence, policies, and contract language.
  • Advise internal stakeholders regarding contract interpretation, lease obligations, and compliance requirements.
  • Coordinate with outside counsel and general counsel when necessary.
  •  Prepares and reviews various agreements, contracts, and other legal documents. Represents the organization in litigation, negotiations, and other matters where legal counsel is required.
Required SkillsRequired Competencies, Education, and Experience
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Must be licensed to practice law in Indiana and in good standing.
  • Minimum of three (3) years of legal experience with substantial contract drafting, review, and negotiation responsibilities.
  • Demonstrated experience reviewing and negotiating commercial contracts and leases.
  • Experience drafting and negotiating BAAs.
  • Exceptional legal writing, editing, and communication skills.
  • Ability to work independently with minimal supervision.
  • Strong analytical
Position Type/Expected Hours of WorkThis is a full-time position, Monday through Friday. Occasional evening and weekend work may be required as job duties demand.
