Job description

Position Overview

We are seeking an experienced Fractional General Counsel to provide strategic legal guidance and oversee the company's legal affairs on a part-time or contract basis. In this role, you will advise executive leadership on legal, regulatory, compliance, and risk management matters while supporting the company's continued growth in the mental health sector.

The Fractional General Counsel will partner closely with senior leadership to ensure compliance with applicable healthcare laws and regulations, negotiate and manage key commercial agreements, provide practical legal advice, and coordinate with outside counsel as needed. This role is ideal for a seasoned healthcare attorney who enjoys serving as a strategic business partner without a full-time executive commitment.

Please note that extensive experience working with physician group practices is required for consideration.

Qualifications Experience Requirements

Legal Strategy & Compliance

  • Extensive expertise in healthcare law, including clinical practice and healthcare technology.
  • Provide strategic legal counsel aligned with the company's business objectives and growth plans.
  • Ensure compliance with healthcare regulations, data privacy laws, telehealth requirements, corporate governance standards, and other applicable laws.

Risk Management

  • Identify and assess legal risks across the organization.
  • Develop practical solutions to mitigate legal and regulatory risks.
  • Advise leadership on risk management strategies and emerging regulatory developments.

Contract Negotiation & Management

  • Draft, review, negotiate, and manage commercial agreements, including:
    • Vendor agreements
    • Partnership agreements
    • Employment and contractor agreements
    • Business Associate Agreements (BAAs)
    • Licensing and technology agreements

Healthcare Regulatory Compliance

  • Advise on physician practice operations, corporate practice of medicine, HIPAA compliance, telehealth regulations, Stark Law, Anti‑Kickback Statute, and other healthcare regulatory matters.
  • Support audits, compliance initiatives, and policy development.

Corporate Governance

  • Advise executive leadership on governance, corporate structure, and regulatory obligations.
  • Support board meetings and governance documentation as needed.

Litigation & Outside Counsel Management

  • Manage legal disputes, claims, and investigations.
  • Coordinate with outside counsel on litigation and specialized legal matters.
  • Evaluate litigation strategy and settlement opportunities.
Knowledge, Skills & Abilities Requirements
  • Juris Doctor (J.D.) from an accredited law school and active bar membership in good standing.
  • 10+ years of legal experience, with significant experience in healthcare law and physician group practices.
  • Previous experience serving as General Counsel, Fractional General Counsel, or senior in‑house healthcare counsel preferred.
  • Deep understanding of HIPAA, healthcare regulatory compliance, telehealth laws, corporate governance, employment law, and commercial contracting.
  • Experience supporting high‑growth healthcare organizations or digital health companies is highly preferred.
  • Excellent negotiation, communication, and business judgment.
  • Ability to work independently while collaborating effectively with executive leadership.
  • High ethical standards and commitment to compliance.
