The Senior Counsel will be part of a high-performing and collaborative team responsible for providing broad legal, risk and compliance support to Exyte Americas' expanding business lines. This position offers the opportunity to partner directly with Executive and Operational Leadership on sophisticated, high impact matters across engineering, design, construction, and EPC project delivery.
The Senior Counsel will provide legal advice and guidance on both transactional matters and claims and act as a trusted business partner. Strong experience drafting, negotiating, and managing large construction, design, EPC, and related agreements is critical.
The ideal candidate thrives in a fast paced environment, and delivers sound judgment with a pragmatic, business oriented approach. We are looking for someone who is proactive, confident, and intellectually curious - a trusted advisor who can influence outcomes, build strong cross functional relationships, and contribute meaningfully to Exyte's mission of delivering technology enabling facilities with precision and excellence. The role reports to the General Counsel for Exyte Americas.
Explore your tasks and responsibilities
  • Drafts, reviews, and negotiates contracts and other documents affecting the Company's day-to-day operations, including, design, engineering, construction, and EPC agreements, labor agreements, subcontract and vendor agreements, jobsite work rules, and EHS processes and procedures.
  • Provides legal advice and guidance to business lines and functional management on matters affecting the business.
  • Acts as a trusted business partner to management.
  • Manages the resolution of commercial claims, mediations, arbitrations, and litigation involving clients, subcontractors and/or other third parties, working with insurers and outside counsel, as appropriate.
  • Manages and handles labor and employment disputes, claims and litigation.
  • Provides guidance on corporate governance, regulatory compliance, policies, leases, insurance, and collection matters.
  • Counsels on corporate risk, and supports the company's Enterprise Risk Management and Compliance programs.
  • Works closely with Human Resources, Compliance, and other departments to advise on legal requirements and interpret and enforce policies, handbooks, agreements, etc.
  • Investigates, responds to and advises on NLRB, OSHA, EEOC, DOL, WARN, FLSA and other government administrative matters.
  • May be involved in legal issues, contracts and filings relating to intellectual property, software, and IT matters.
  • Supports merger and acquisition, financing, and related transactions.
  • Manages assigned projects to completion.
  • Other duties as assigned.

Minimum Required
  • Education: Juris Doctor degree
  • Must be licensed and in good standing as a lawyer in Texas (or other approved state)
  • 8+ years of experience
  • Experience with large EPC / Construction projects

Preferred
  • Prior experience working in a law firm and in- house preferred
  • Excellent verbal and written communication skills
  • Strong experience negotiating and drafting large EPC agreements
