Position Summaryย  ย ย 

SRS Acquiom is currently searching for a Contract Review Attorney. The Contract Review Attorney is responsible for review and analysis of primary transaction documents in each of our M&A transactions to ensure complete and concise entry of post-closing obligations and deal terms into our proprietary database.ย The ideal candidate can quickly comprehend key provisions of complex agreements and work independently. This position will report to the Senior Director, Contract Administration.

Location:ย This position is either hybrid out of our Denver, CO office or a fully remote position from within the Continental United States.ย 

If the candidate selected livesย withinย a 20-mile radius of our downtown Denver office, they will be classified as a hybrid employee, and beginning September 8, 2026, workingย one day per week in the office is expected.ย Beginning February 1, 2027, two days per week in the office will be expected. If the candidate selected livesย outside a 20-mile radius of the Denver office, they will be classified as a fully remote employee, and in-person onsite visits to the Denver headquarters will be required on average three times per year.

Compensation: The salary range for this position is between $105k and $120k, depending on experience level.

Primary Responsibilitiesย ย ย ย 

  • Review transaction documents (usually a merger, asset, or stock purchase agreement, escrow and paying agent agreement, allocation spreadsheet, and supporting or ancillary agreements) for an understanding of post-closing rights and obligations of the parties (for example, rights to deferred compensation, earnouts, and releases of escrow and indemnification obligations).
  • Complete second-level review of data entered by first-level reviewers to ensure a complete and accurate reflection of such rights and obligations in our proprietary database.ย 
  • Confirm accurate recording of various standard deal points from each transaction, such as deal size, types of parties, type of transaction, purchase price adjustment process, types of indemnification obligations and related caps, and inclusion of certain covenants, representations, and warranties.
  • Answer deal-term and contract interpretation questions from internal parties and deal stakeholders.
  • Follow up as needed to obtain additional transaction documents to complete an accurate recording of deal points.
  • Assist the Compliance Team with various tasks as designated overflow.
  • Execution of special projects as needed or assigned.

ย Required Qualifications & Skillsย ย 

  • Graduated from an accredited law school.
  • Licensed attorney with a strong academic record.
  • 2-5 years of M&A experience with a major law firm or in-house corporate law department.
  • Working to advanced knowledge of Microsoft Office (Excel, Word) required.
  • Manage multiple tasks simultaneously under tight deadlines.
  • Takes ownership of issues and follows through to resolution.
  • Highly motivated self-starter with the ability to work collaboratively.
  • Extremely detail-oriented and meticulous.
  • Strong analytical and organizational skills.
  • Maintain a high level of confidentiality and integrity.

Desired Characteristicsย ย ย ย 

  • M&A, Securities, Corporate, or Transactional Experience.
  • Understanding of database management and/or statistics.
  • Excellent communication (verbal and written), facilitation, and interpersonal skills.
  • Ability to work independently to manage workload and in a remote location.

  • Ability to travel to the corporate office in Denver, Colorado (at least twice per year)
  • Must be able to operate standard office productivity machinery and equipment, including a phone, computer/laptop, mouse and keyboard, photocopy machine, scanner, and e-fax
  • Work on the computer for the majority of regular workdays
