M&A & Energy Transactional Associate Attorney | 3–5 Years | Houston

A sophisticated corporate transactions practice is seeking a mid-level associate with 3–5 years of experience to join its Houston team. This is a strong opportunity for an attorney who wants broad exposure across M&A, private equity, energy transactions, cross-border deals, and general corporate matters rather than being confined to a narrowly defined transactional practice.

The successful candidate will work on complex domestic and cross-border transactions for private equity sponsors, independent sponsors, public and private companies, and other sophisticated corporate clients. Matters span a variety of industries, with particularly strong exposure to the power, renewable energy, oil and gas, and broader energy sectors.

Associates will be involved throughout the transaction lifecycle, from initial structuring and due diligence through negotiation, execution, and closing. The role offers meaningful responsibility on significant deals while providing the opportunity to develop both broad corporate transactional capabilities and specialist experience in high-demand areas.

Responsibilities will include advising on mergers, acquisitions, divestitures, joint ventures, private equity investments, platform acquisitions, add-on transactions, and other business combinations. Associates will also have the opportunity to work on acquisitions and dispositions of energy assets, project development matters, and other strategic transactions involving the energy industry.

The position will involve drafting and negotiating purchase agreements, ancillary documents, closing materials, and other key transactional instruments, as well as coordinating due diligence and working closely with lawyers across complementary practice areas.
