Job description

LOCATIONS: San Francisco, CA | Palo Alto, CA | Seattle, WA

Hybrid/Remote


A premier AmLaw 100 firm is seeking an experienced Senior Paralegal to support its Corporate, Finance, and Commercial Real Estate practice groups.


What You'll Do

  • Support corporate and commercial real estate transactions from inception through closing, including due diligence, closings, closing binders, and post-closing matters.
  • Manage entity formations and corporate governance documentation, including minute books, board resolutions, written consents, and multi-state annual filings.
  • Provide support for emerging companies and venture capital matters, including cap table maintenance, equity incentive plans, and stock option grants. Experience with Carta is a plus.
  • Prepare and file securities documents through EDGAR.
  • Handle UCC-1 and UCC-3 financing statements and conduct lien searches.
  • Assist with commercial real estate transactions, including deeds of trust, title commitments, surveys, and recording documents.


What You Bring

  • Corporate, finance, and/or commercial real estate paralegal experience within a law firm environment.
  • Hands-on EDGAR filing experience
  • Current notary commission or the ability to obtain one.
  • Bachelor's degree preferred.
