Job description

Direct Counsel represents a prestigious AmLaw firm seeking an ESOP Transactions & Services Associate to join its nationally recognized ESOP Practice Group. This opportunity is ideal for a mid-level attorney with 4+ years of experience advising on ESOP transactions, ERISA matters, and corporate transactions.

Locations: Kansas City, Missouri (preferred) | Philadelphia, Pennsylvania | Chicago, Illinois

Responsibilities:

  • Advise clients on ESOP formations, transactions, operations, and compliance matters
  • Represent ESOP sponsors, shareholders, trustees, lenders, and private companies in ESOP-related transactions
  • Structure and implement ESOP transaction planning and design strategies
  • Counsel clients on ERISA, qualified retirement plans, and Internal Revenue Code Section 409A matters
  • Assist with mergers and acquisitions involving ESOP-owned companies
  • Advise on corporate governance, executive compensation, and general corporate matters
  • Draft and negotiate transaction documents and related agreements
  • Support clients on strategic business and day-to-day operational issues
  • Manage complex matters independently while collaborating with attorneys and clients

Qualifications:

  • Juris Doctor (JD) from an accredited law school
  • Active bar admission in the jurisdiction where the candidate intends to practice
  • 4+ years of experience with ESOP transactions and related corporate and ERISA matters
  • Experience with:
    • ESOP transaction planning and implementation
    • Qualified retirement plans
    • Internal Revenue Code Section 409A
    • Mergers and acquisitions
    • Corporate governance
    • Executive compensation
    • General corporate and transactional matters
  • Strong drafting, analytical, negotiation, and communication skills
  • Excellent academic credentials
  • Ability to manage sophisticated matters efficiently and independently

Compensation & Benefits:
