Role Snapshot

The Director, Treasury & Government Financing provides leadership over all aspects of government financing, including federal loans and incentives, new application filings, loan closings, loan draws, funding timelines, and periodic loan audits. The position requires frequent interaction with key federal stakeholders, along with ongoing monitoring of regulatory developments and communication of changes that impact multiple departments. Oversees the administration and strategic use of government financing programs and actively researches and evaluates new funding opportunities. Makes recommendations on loan modifications to optimize approved federal funding.

This role works cross-functionally with other departments such as Capital Projects & Technical Services, the Controllers group, Environmental, and Legal to coordinate loan applications, funding requests, required deliverables, and compliance with lender expectations. The Director, Treasury & Government Financing serves as the primary point of contact for governmental lenders and responds to all related information requests.

The Director, Treasury & Government Financing also provides oversight of the Indenture as it relates to matters such as the trust estate, liens, and borrowing capacity (e.g. bondable additions).

The Director, Treasury & Government Financing leads and oversees the end-to-end debt compliance program, including compliance with indentures, credit agreements, and government loan requirements for OPC and Smarr EMC. This role provides leadership in interpreting debt, lease, and financing agreements and maintains comprehensive knowledge of all loan terms, obligations, and requirements.

The Director, Treasury & Government Financing is responsible for overseeing the development, implementation, and ongoing administration of a debt compliance system to replace manual tracking processes, improve efficiency, and strengthen controls. This role is critical to ensure all compliance obligations are met timely and accurately, mitigating risk and preventing default.

The Director, Treasury & Government Financing develops and maintains key financing inputs, including credit spread assumptions, member prepayment rates, and federal funding scenarios. These inputs support analysis, decision-making, and final approval by the Vice President, Treasurer.

The role provides fair value oversight by reviewing valuation methodologies and conclusions for treasury investments and ensuring approaches are appropriate, well-supported, and aligned with accounting standards for SEC disclosures.

Responsible for developing and maintaining performance measurement for the investments related to the member prepayment program, including monitoring results and supporting reporting needs.

Serves as the primary point of contact for SEC disclosures related to federal loan programs, ensuring accuracy, completeness, and coordination with Controllers group and Legal.

Contributes to continuous improvement across the Treasury function by identifying opportunities to reduce manual processes, enhancing efficiency through technology solutions, including the use of AI, and supporting implementation of improved systems and workflows.

Assists in review of financial Board policies and recommends updates to align with changes in business operations, regulatory requirements, and financing structures. Oversees preparation of board meeting material and makes recommendations for actions requiring Board approval.

Provides cross-functional oversight within Treasury, reviewing key deliverables across functions to ensure consistency, accuracy, and alignment with financing strategy

Supports internal and external audits, including preparation of materials, coordination across departments, and response to auditor inquiries.

Serves as a backup to the Director, Treasury Operations to support continuity of operations.

The role also includes participation in meetings with lenders and other financial stakeholders as needed.

What You'll Do

Government Financing & Federal Lending

Lead all aspects of government financing, including federal loans, incentives, and funding programs.

Oversee loan application processes, approvals, closings, funding timelines, and periodic audits.

Identify and evaluate new government funding opportunities.

Serve as primary contact for federal lenders, managing relationships and responding to information requests.

Monitor regulatory changes and communicate impacts across departments.

Partner with cross-functional teams to coordinate loan applications, funding requests, and required deliverables. Ensure alignment between financing activities and operational needs.

Debt Compliance Program Leadership

Lead the endtoend debt compliance program for all entities, including OPC and Smarr EMC.

Maintain comprehensive knowledge of all financing agreements and obligations.

Interpret debt and lease agreements and provide guidance to treasury and other departments.

Ensure compliance with:

  • Indentures
  • Credit agreements
  • Government loan requirements

Oversee implementation and ongoing administration of a treasury debt compliance system to replace manual processes and strengthen auditability and controls working with the Director, Corporate Compliance in the research and design.

Establish standardized compliance frameworks, including:

  • Tracking systems
  • Reporting calendars
  • Deliverables and certifications

Maintain a centralized repository of all debt agreements and compliance requirements.

Review and approve compliance certifications prior to VP review.

Identify and mitigate compliance risks, ensuring timely resolution of issues.

Serve as escalation point for covenant interpretation, compliance concerns, and potential breaches.

Financing Strategy & Analysis

Provide oversight of indenture requirements as it relates to matters such as the trust estate, liens, lien releases, and borrowing capacity (e.g. bondable additions).

Develop and maintain key financing inputs, including:

  • Credit spread assumptions
  • Member prepayment rates
  • Federal funding scenarios

Support capital planning and funding strategy decisions.

Provide analysis and recommendations to support VP, Treasurer approval.

Performance Measurement, Fair Value Oversight, Audit Support

Develop and maintain performance measurement for investment related to the member prepayment program.

Review valuation methodologies and fair value conclusions for treasury investments.

Ensure approaches are appropriate, consistent, and supportable for financial reporting purposes prior to sign-off by Vice President, Treasurer.

Serve as primary point of contact for SEC disclosures related to federal loan programs.

Support internal and external audits including coordination of responses to audit inquiries.

Process Improvement & Technology

Participate in efforts to:

  • Reduce manual processes
  • Improve efficiency
  • Implement technology solutions, including AI

Enhance treasury systems, reporting, and workflows.

Additional Responsibilities

Assist in financial Board policy review and recommend updates.

Provide cross-functional oversight within Treasury.

Review key treasury deliverables to support VP, Treasurer decisions.

Provide key input for departmental budget.

Serve as backup to Director, Treasury Operations.

Participate in meetings with lenders and financial stakeholders.

Participates in special projects relating to various corporate activities. Ensures Treasury needs are considered and incorporated as new systems are implemented.

Percent of travel involved: 5% participation at RUS or DOE meetings; attendance at G & T industry conferences.

Unusual hours required of this position: Overtime may be required for time-sensitive closing of financing transactions, loan advance activity and /or special projects.

Direct Reports

Manages Manager, Government Loans & Debt Compliance and Treasury Analyst II - provides daily direction, oversight of activities and conducts performance reviews. Provides oversight on training and professional development.

What You Bring

Knowledge, Skills and Abilities (i.e., communication skills, systems knowledge, personal and professional characteristics): Excellent verbal and written skills; ability to provide strategic insight, cross-functional leadership skills, exceptional PC skills (especially Word, Excel, Power Point, AI tools); technology adept, strong organizational and process management and improvement skills, experienced knowledge of loan structures and general familiarity with treasury activities desirable.

Licenses, Certifications and/or Registrations: None required, financial certifications desirable

Education & Experience

Education: BA/M.B.A. in Finance, Accounting, Business or related field, MBA or advanced degree preferred

Experience: Minimum 10 years of experience in treasury, finance, or accounting field and minimum 3 years management responsibility, 5+ years electric utility industry. Experience with government financing programs and compliance management preferred

Equivalent Experience: 10 Years of experience in treasury or business-related field with 7 years of management responsibility, experience with compliance
