Direct Counsel is representing a prestigious AmLaw firm seeking a midlevel Associate (3–5 years) to join its sophisticated Employee Benefits & Executive Compensation practice.

Locations: Philadelphia | New York | Washington, D.C. | Chicago | Pittsburgh | Silicon Valley | San Francisco

This is an excellent opportunity for an attorney with strong employee benefits and executive compensation experience to work on complex transactional and advisory matters within a nationally recognized practice platform.

Responsibilities
  • Advise clients on employee benefits and executive compensation matters arising in:
    • Mergers & Acquisitions
    • Corporate transactions
    • Strategic business deals
  • Design, draft, and advise on:
    • Qualified pension plans
    • Defined contribution plans
    • Health & welfare plans
    • Executive employment agreements
    • Nonqualified deferred compensation plans
    • Equity compensation arrangements
  • Support clients with ongoing employee benefits and executive compensation compliance and operational matters
  • Collaborate closely with corporate, tax, and executive compensation teams on sophisticated transactions
Qualifications
  • 3–5 years of law firm experience in employee benefits and executive compensation
  • Strong experience advising on benefits and compensation issues in M&A transactions
  • Experience with non-M&A employee benefits matters preferred
  • Excellent academic credentials and strong drafting, analytical, and communication skills
  • Active bar membership required
Compensation

Expected salary range in New York, California, and Washington, D.C.: $225,000 – $435,000, depending on experience, qualifications, and market factors.
